Summary of proceedings of 19th Annual General Meeting of Prostarm Info Systems Limited
The 19th Annual General Meeting (“AGM”) of the Members of Prostarm Info Systems Limited (“the
Company”) was held on Friday, September 11, 2026 through Video Conferencing (“VC”)/ Other Audio
Visual Means (“OAVM”), in accordance with various circulars of the Ministry of Corporate Affairs
(“MCA”) and Securities Exchange Board of India (“SEBI”).
Upon confirming the presence of the requisite quorum, the meeting commenced at 03.00 p.m. (IST) and
concluded at 04.20 p.m. (IST) (including the 15 minutes time allowed for e-voting at the AGM).
The meeting was chaired by Mr. Tapan Ghose, Chairman & Managing Director of the Company.

Members Present:
48 Members attended the meeting through VC.
At the outset, Mr. Sachin Gupta, Company Secretary extended a warm welcome to the Shareholders
present at the meeting and introduced all the Directors and senior leadership members present at the
meeting.
He then communicated the general instructions to the Shareholders present regarding participation
and voting at the Meeting. He informed that the Registered Office of the Company situated at Plot No.
EL 79, Electronic Zone, TTC, MIDC, Mahape, Navi Mumbai, Thane – 400 710, Maharashtra, India shall be
deemed to be the venue for the AGM.
He further informed that the remote e-voting period commenced on September 08, 2026 at 9:00 a.m.
and ended on September 10, 2026 at 5:00 p.m and the Company had also provided the facility of e-
voting during the AGM.
Upon confirming the presence of the requisite quorum, he called the meeting to order and informed
the Members that the Statutory Registers and other relevant documents were available for inspection.
After that, Mr. Sachin Gupta, Company Secretary requested Chairman & Managing Director, Mr. Tapan
Ghose to deliver his speech.
The Chairman then welcomed the Shareholders to the 19th Annual General Meeting and briefly
highlighted the Company’s journey, key business developments and performance during the year. He
highlighted the Company’s manufacturing expansion, strategic focus on Battery Energy Storage
Systems and the growth opportunities arising from India’s evolving power and energy landscape. He
also outlined the Company’s future growth priorities and expressed sincere appreciation to the
shareholders for their continued trust and support.
Following this, the Company Secretary invited the Chief Financial Officer, Mr. Abhishek Jain, to present
the financial highlights for the year.
The Chief Financial Officer, Mr. Abhishek Jain, presented the financial highlights of the Company for FY
2025–26. He highlighted the Company’s standalone and consolidated revenue and profitability growth
during the year and apprised the Members of the impact of temporary supply chain disruptions and
manufacturing challenges during Q4 FY2025–26. He also briefed the Members on the increase in
working capital and receivables, collections commenced during H1 FY2026–27, key orders secured from
leading organisations, and the Company’s executable order book of over ₹1,100 crore. He further
briefed the Members on the upcoming BESS facility at Jhajjar, Haryana, and UPS manufacturing facility
at Bakrol, Gujarat, the Company’s digital transformation journey through the implementation of SAP
Business One and Salesforce, improvement in the debt-equity ratio following the successful public
listing, and the proposed fund raising of approximately ₹42.61 crore through the issue of fully
convertible warrants on a preferential basis. He emphasised the Company’s focus on profitable growth,
cash generation, financial discipline, operational efficiency, prudent deployment of capital and
strengthening capabilities for sustainable long-term growth and value creation for shareholders.
Concluding his address, he expressed sincere appreciation to the shareholders, customers, employees,
suppliers and channel partners for their continued trust and support, and subsequently handed the
proceedings back to the Company Secretary.
With the permission of the Members, the Notice of the meeting and Annual Report 2025-26 were taken
as read. The Members were informed that the Statutory Auditors’ Report had no adverse remarks and
the same was thus taken as read.
The following items of business, as set out in the Notice convening the Meeting were commended for
members consideration and approval:
ORDINARY BUSINESS:
Item no: 1:
To receive, consider and adopt the audited standalone and consolidated financial statements of the
Company for the financial year ended March 31, 2026 together with the reports of Board of Directors
and of Auditors thereon- Ordinary Resolution.
Item no: 2:
To Re-appoint Mr. Ram Agarwal (DIN: 01739245) as a Director of the Company, liable to retire by
rotation, who had offered himself of reappointment- Ordinary Resolution.
Item no: 3:
To Appoint M/s Valawat and Associates as the Statutory Auditors of the Company- Ordinary
Resolution.
SPECIAL BUSINESS:
Item no: 4:
To Ratify the Remuneration payable to M/s Y R Doshi & Company, Cost Auditor for the Financial Year
2026-27- Ordinary Resolution.
