Thanking you, Yours faithfully, For Ion Exchange (India) Limited Nikisha Solanki Company Secretary & Compliance Officer ACS- 50894 Encl: As Stated Above Summary of proceedings of the 62nd Annual General Meeting of Ion Exchange (India) Limited held on Friday, September 11, 2026 at 11:00 A.M. through Video Conferencing / Other Audio Video Means The 62nd Annual General Meeting (“AGM” or “the Meeting”) of the Members of Ion Exchange (India) Limited (“the Company”) held on September 11, 2026 at 11:00 A.M., through Video Conferencing (VC)/ Other Audio Video Means (OAVM), in accordance with the applicable provisions of Companies Act, 2013 (“the Act”) read with the Rules issued thereunder and the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations, 2015”) and the circulars issued by Ministry of Corporate Affairs (MCA) and the Securities and Exchange Board of India (SEBI). Mr. Rajesh Sharma, Executive Chairman of the Company, chaired the Meeting. The requisite quorum being present, the Meeting was called to order. Ms. Nikisha Solanki, Company Secretary & Compliance Officer, welcomed all the participants and introduced the Directors and CFO present at the Meeting, including the Independent Directors and Promoter Directors. All the Directors and KMP were present in the Board Room, except Mr. Gopalaraman Padmanabhan, who expressed his inability to attend the Meeting due to unforeseen circumstances. The Chairman addressed the Members and delivered his speech covering the performance of the Company and other relevant matters. Thereafter, the Company Secretary proceeded with the further proceedings of the Meeting and informed the Members that the Company had received requests for authorised representatives under Section 113 of the Companies Act, 2013, from 80 Members collectively holding 2,86,19,100 Equity Shares of the Company. The Members were further informed that the Company had availed the services of National Securities Depository Limited (“NSDL”) to facilitate the 62nd AGM through VC and webcast on the Zoom Platform, enabling participation of Members and providing facilities for remote e-voting and e-voting during the Meeting on all the resolutions. It was further informed that, since the AGM was being conducted through VC/OAVM, enabling Members to participate from any location, the facility for appointment of proxies was not applicable and, accordingly, was not provided. The Members were apprised that the representatives of the Statutory Auditors, M/s. Deloitte Haskins & Sells LLP, and the Secretarial Auditors, M/s. GMJ & Associates, Company Secretaries, were also attending the Meeting through Video Conferencing. The Members were also informed that the Statutory Registers and other documents, as required under the applicable provisions of the Companies Act, 2013, were available for inspection by the Members and could be accessed by writing to the Company at investorhelp@ionexchange.co.in. The remote e-voting facility was made available from Monday, September 7, 2026, at 09:00 A.M. to Thursday, September 10, 2026, at 5:00 P.M. Members who had not cast their votes through the remote e-voting facility were provided an opportunity to cast their votes electronically during the Meeting. The Members were informed that the Board had appointed M/s. V. V. Chakradeo & Co., Practising Company Secretaries, as the Scrutinizer to scrutinize the e-voting process, including remote e-voting and e-voting during the AGM, and to submit the Scrutinizer’s Report in accordance with the applicable provisions of the Companies Act, 2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. Since the Notice convening the 62nd AGM had already been circulated to all the Members, with the consent of the Members, the Notice was taken as read. Accordingly, the resolutions set out in the Notice were not read out at the Meeting. It was informed that the Reports of the Statutory Auditors and the Secretarial Auditors did not contain any qualifications, observations or adverse comments and, therefore, were not required to be read at the Meeting. The Members were thereafter briefed on the procedure for the Question-and-Answer session. The Members who had pre-registered themselves as speakers were invited to share their comments, suggestions and queries. Out of the nine Members who had registered themselves as speakers, Mr. Hiranand Parsram Kotwani, Mr. Yusuf Yunus Rangwala, Mr. Toni Bhatia, Mr. Manoj J. Bagadia and Mr. Henil M. Bagadia raised various queries relating to the performance and affairs of the Company. The queries were duly responded to by Mr. Indraneel Dutt, Managing Director & CEO. Thereafter, the following resolutions, as set out in the Notice convening the 62nd AGM, were placed before the Members for their approval by way of e-voting: No. Items Type of Resolution Passed Ordinary Business: 1. Ratification of Remuneration of Cost Auditors Ordinary With requisite majority The Company Secretary informed the Members that the results of voting, along with the Scrutinizer’s Report, would be uploaded on the on the websites of the Stock Exchanges and on the website of the Company at www.ionexchangeglobal.com and on NSDL’s website. The Company Secretary thanked the Members for attending the 62nd AGM of the Company and concluded the meeting at 12.14 p.m. (including time allowed for e-voting at the AGM) with a vote of thanks.
