Dear Sir / Madam, This disclosure is being issued pursuant to Regulation 30 read with the relevant provisions of the LODR Regulations, read with the circular number SEBI/HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 issued by the Securities and Exchange Board of India (SEBI) on 13th July 2023 (SEBI Circular). As stated in the notice of the 42nd annual general meeting of the Company, the Company is engaged in the manufacturing of ice creams, frozen desserts, and other processed food products, and the domestic sale and distribution of the Company’s products in India is presently routed principally through Vadilal Enterprises Limited under a sale and purchase agreement that was executed in September 2016 for a period of 10 years (Agreement), which is scheduled to expire on 30th September 2026. The Company has received communication from Vadilal Enterprises Limited informing us that they cannot proceed with renewal of the Agreement on the current terms of renewal since Vadilal Enterprises Limited has not received the required approvals from their public shareholders. We accordingly regret to inform you that while the Agreement was placed for approval in the AGM and has been approved by the public shareholders of the Company, the Company will not be able to proceed with renewal of the Agreement with effect from October 1, 2026, as presented at the AGM. The Company is evaluating and has initiated appropriate next steps to ensure continuity of smooth business operations and to ensure that there is no detrimental impact due to the discontinuation/ non-renewal of the Agreement. The Company is taking necessary measures to safeguard the interests of the Company and its public shareholders.
