The Company wishes to provide a clarification regarding the contracting arrangement for the aforesaid project, with a view to provide complete clarity and avoid any possible ambiguity arising from the wording of the earlier disclosures. We wish to clarify that the Food Corporation of India (“FCI”) is the project authority for the FCI Smart Warehousing Project. The project has been awarded by FCI to our System Integrator (“SI”) partner, NebulArc Technologies Private Limited (“NebulArc”), and Creative Newtech Limited has received the order for its assigned scope of work from NebulArc. In this regard, it may also be noted that the original Media Release had also stated that “The project will be executed through Creative Newtech Limited strategic partnership with SI and Creative Newtech’s implementation strength and deployment experience.” The reference to the SI partnership was therefore already included in the original Media Release. The references in the earlier announcement and Media Release to the FCI order/project were in the context of the underlying FCI Smart Warehousing Project. This clarification is being issued to further clarify the contracting arrangement and to specify that NebulArc Technologies Private Limited is CNL’s direct contracting counterparty for the said order, while FCI is the project authority. Creative Newtech Limited continues to undertake and execute its assigned scope of work for the FCI Smart Warehousing Project pursuant to the order received from NebulArc. Further, all other details relating to the project as disclosed earlier, including the order value of Rs. 35.89 crore, scope of work, coverage of 150 FCI depots, implementation/deployment activities, execution timeline and AMC support, remain unchanged. The Company continues to work on the project in accordance with the agreed scope and terms. Accordingly, this clarification is being issued only to provide greater clarity on the contracting structure of the project. There is no change to the substance, scope, value or execution of the project as previously disclosed. The updated requisite details in relation to the aforesaid order/project, pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with the applicable SEBI Circulars/Guidelines, are enclosed herewith as Annexure A.
