Manish Kothari 10th September 2026 Mr Ashok Vaswani MD&CEO Kotak Mahindra Bank Ltd Mumbai 400 051. Dear Ashok, Sub: Resignation as Group President & Head, Commercial Bank This has reference to our conversation a few months back wherein I had discussed with you regarding my interest in pursuing a journey outside of Kotak (possibly an entrepreneurial one). I truly wantto thank you and the firm for accommodating my request and giving me the time and space to seamlessly transition the various businesses and responsibilities that I was carrying. Over the last few months, I have worked closely with the WTDs and with all my Business Heads to ensure a strong handover of the various businesses and, as things stand today, I am personally quite satisfied with the outcome. Hence, with the above context and with a deep sense of reflection and emotion, I now write to formally resign from my position as Group President & Head, Commercial Bank. Basis our earlier conversation and understanding, I would look for 30th Sep'26 to be my last working day at l<otak. Ashok, thirty-one years is a long time; long enough for an organization to become a part of your identity. And truly, Kotak has been much more than a workplace to me; it has been a source of continuous learning and a place to fulfil collective aspirations and build enduring relationships. I have been truly privileged to work alongside exceptional colleagues, mentors, and teams who have continuously inspired me with their passion and brilliance. Most importantly, the trust placed by l<otak in me over the years, to build and lead diverse businesses, has been truly humbling and made me what I am today-and I will always carry with me a deep sense of gratitude for that. And, to say the least, it has been profoundly fulfilling and joyful to personally witness and contribute to Kotak's remarkable evolution from a small NBFC into a leading financial services conglomerate. While I step down for personal reasons, I do so with immense pride in what we have collectively built at Kotak. I am sure that the strength of Kotak's values and leadership will take it to even greater heights. I take this opportunity to offer my heartfelt gratitude to Uday & you, as well as to all my colleagues, for the trust, support, and camaraderie I have experienced throughout my journey. Time for the next best phase of my lifel Thank you! Manish l<othari Group President & Head, Commercial Bank This is an Internal document.
