Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the SEBI Listing Regulations and the SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 issued on July 11, 2023 (last updated on January 30, 2026), we hereby enclose the summary of proceedings of the 20th AGM of the Company. No.: A27475 Encl.: As above Summary of Proceedings of the 20th Annual General Meeting The 20th Annual General Meeting (“AGM”) of Members/Shareholders of United Foodbrands Limited (Formerly known as Barbeque-Nation Hospitality Limited) (“the Company”) was held today, i.e., Thursday, September 10, 2026, at 10:30 AM (IST) through Video Conference (“VC”)/Other Audio Visual Means (“OAVM”) in compliance with the circulars issued by the Ministry of Corporate Affairs (“MCA”) in connection with conducting of AGM through VC or OAVM and the applicable provisions of the Companies Act, 2013 (“the Act”) and the rules made thereunder, and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015. The Meeting was commenced at 10:30 AM (IST) and concluded at 11:50 AM (IST). A total of 49 Members attended the AGM through VC. S.R. Batliboi & Associates LLP, Mr. Abhilash K Chhajer Statutory Auditors of the Company Mr. Parameshwar G. Bhat Secretarial Auditor of the Company and Scrutinizer for this AGM Mr. Vijayakrishna K T Company Secretarial Advisor Mr. Abhay Chintaman Chaudhari, Chairman, chaired the Meeting at 10:30 AM (IST). The requisite quorum being present, Chairman called the Meeting to order. Chairman extended a warm welcome to all the Directors, Members and invitees present at the Meeting. Chairman thereafter introduced the Directors, Key Managerial Personnel and Auditors of the Company to the Members present and further apprised the Members on the regulatory provisions relating to conducting AGM through VC. With the consent of the members present, the notice of the AGM, which was circulated prior to the AGM, was taken as read at the meeting. Ms. Nagamani C Y, Company Secretary & Compliance Officer, apprised the members that the Company had provided remote e-voting facility and for the said purpose, the Company had appointed Central Depository Services (India) Limited (“CDSL”), an agency for providing e-Voting Service, to enable the Members to cast their vote on the Resolutions set out in the Notice of the AGM as per the timelines mentioned therein. The Company had also provided e-voting facility to the Members who had not cast their vote earlier in the remote e-voting and present at the AGM through VC. The e-voting module was disabled by CDSL immediately after 30 minutes from the conclusion of the Meeting. She further apprised the members that the Company has appointed Mr. Parameshwar G Bhat, a Practising Company Secretary (M. No.: F8860; C.P. No.: 11004), Bengaluru, as the Scrutinizer to scrutinize the e-voting process (remote e-voting and e-Voting at the AGM) in a fair and transparent manner. Mr. Kayum Razak Dhanani, Managing Director, addressed the Members and provided a strategic perspective on the Company’s business. He apprised the members on the Company’s performance during the financial year 2025-26 and highlighted the Company’s evolution from a single-brand entity to a diversified food services platform, as well as its continued investment in the digital ecosystem. He thanked all stakeholders for their continued support and the trust they have placed in the Company. Ms. Nagamani C Y, Company Secretary & Compliance Officer, apprised the members that the Statutory Auditors’ Reports and Secretarial Auditor’s Report for the financial year ended March 31, 2026 do not contain any qualification, observation, adverse remark or disclaimer and with the consent of the members present, the Statutory Auditors’ Reports and Secretarial Auditor’s Report were taken as read at the meeting. She further briefed on the Resolutions set out in the Notice of the AGM. The following ordinary business, as stated in the AGM Notice dated August 4, 2026 which was circulated to the Shareholders on August 19, 2026, were transacted at the AGM: Ordinary Business: Item Type of Particulars of the Resolution No. Resolution Adoption of Audited Standalone and Consolidated Financial 1 Ordinary Statements for the financial year ended March 31, 2026. Re-appointment of Mr. Azhar Yusuf Dhanani (DIN: 07694732), 2 Ordinary Director, who retires by rotation. Re-appointment of Mr. Rahul Agrawal (DIN: 07194134), Director, 3 Ordinary who retires by rotation. Thereafter, the Members attending the AGM and who had registered themselves as Speaker Shareholders were given an opportunity to raise questions and express their views and opinions. All the queries were duly responded by Mr. Rahul Agrawal, Chief Executive Officer and Whole-time Director of the Company. Chairman apprised the Members that, upon receipt of the Scrutinizer’s report, the consolidated voting results of remote e-voting and e-voting at the AGM, along with the Scrutinizer's Report, shall be submitted to the Stock Exchanges within the prescribed timelines and shall also be placed on the Company's website. The AGM was concluded with a vote of thanks to the Directors, Key Managerial Personnel, Shareholders and Invitees present at the AGM.
