Sub: Initiation of NCLT Order on FTF Pharma Private Limited, a Wholly Owned Subsidiary of Shilpa
Medicare Limited.
Ref: Disclosure pursuant to Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015 (‘Listing Regulations’).
Pursuant to Regulation 30 of Listing Regulations , we hereby inform that the Hon’ble National Company Law
Tribunal, Ahmedabad Bench – Court II, vide its order pronounced on 9 September 2026 in CP (IB) No. 346
(AHM) 2025, has admitted the application filed under Section 9 of the Insolvency and Bankruptcy Code, 2016
(“IBC”) by Immacule Lifesciences Private Limited against FTF Pharma Private Limited (“FTF
Pharma”), a Wholly Owned Subsidiary of Shilpa Medicare Limited (“the Company”), and has ordered
commencement of the Corporate Insolvency Resolution Process (“CIRP”) against FTF Pharma.
The Company is in discussions with its legal advisors to evaluate the overall legal position and the future course
of action for the same. We will provide requisite updates at appropriate time on any further development on the
matter.
A copy of the order of the Hon’ble NCLT dated 9 September 2026 is enclosed herewith for information and
records.
The requisite details as prescribed under Regulation 30 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, read with SEBI Master Circular No. HO/49/14/14(7)2025-
CFDPOD2/I/3762/2026 dated 30th January 2026, are enclosed herewith as Annexure A.

(IRP). The CIRP shall commence with effect from the
date of the order.

/quantifiable. The Company will continue to monitor
the CIRP proceedings and make further disclosures as
may be required under applicable laws.
