Dalal Street Plot No. C/1, G-Block MUMBAI – 400 001 Bandra-Kurla Complex Scrip Code: 532654 Bandra(E) MUMBAI – 400 051 Scrip Code: MCLEODRUSS Dear Sir/Madam, Sub: Disclosure under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 (SEBI LODR, 2015) - Assignment of rights and interests under Memorandum of Understanding dated 27th April 2026 in respect of Rupajuli Tea Estate This is in reference to our earlier letter dated 27th April, 2026 relating to outcome of Board Meeting wherein Company had intimated, inter alia, the proposed disposal of assets of certain Tea Estates of the Company, including Rupajuli Tea Estate. We wish to inform you that Khona Tea Estate LLP, the purchaser under the Memorandum of Understanding dated 27th April, 2026 (‘MOU’) entered into with McLeod Russel India Limited (‘Company’) in relation to the proposed acquisition of specified assets of Rupajuli Tea Estate and assignment of leasehold rights in respect of the land comprised therein, has assigned and transferred its rights, responsibilities, title, interest, benefits and entitlements under and arising out of the MOU in favour of Rupajuli Tea Estate LLP (‘Assignee’). Accordingly, Rupajuli Tea Estate LLP shall assume and perform the obligations and responsibilities of the Purchaser under the MOU, to the extent applicable and subject to the terms and conditions thereof. It is further confirmed that Khona Tea Estate LLP and Rupajuli Tea Estate LLP are under the same management and control and that the aforesaid assignment has been made for convenience and administrative ease and to facilitate the implementation and successful completion of the transaction contemplated under the MOU. The assignment does not alter the commercial understanding and principal terms agreed under the MOU. Except for the substitution of the Purchaser from Khona Tea Estate LLP to Rupajuli Tea Estate LLP, the terms and conditions of the MOU shall continue to remain unchanged and binding on the parties concerned. The Company has acknowledged and consented to the aforesaid assignment. The same was considered and approved at the meeting of Disposal of Assets of Tea Estates Committee of the Board of Directors of the Company held, today i.e. 9th September, 2026.
