Dear Sir/ Ma’am, In terms of Regulation 30 of SEBI Listing Regulations read with SEBI Master Circular HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 and in continuation of our earlier intimation dated June 12, 2026, with respect to the copy of Order pronounced by Hon’ble National Company Law Tribunal, Chennai (“NCLT Order”), sanctioning the Scheme, we wish to inform you that the Amalgamated Company and the Amalgamating Company have filed the certified copy of the NCLT Order with the Registrar of Companies, Chennai, today, i.e. on July 10, 2026. Accordingly, the Scheme has become effective today, i.e. July 10, 2026 (“Effective Date”) and consequently, Amalgamating Company stands amalgamated with the Company and dissolved without being wound up. In accordance with the Scheme, the Appointed Date of the Scheme is April 01, 2024. You are requested to take the above intimation on record.
