Dear Sir / Madam,
Pursuant to Regulation 44 (3) of the Securities and Exchange Board of India (Listing Obligations and
Disclosure Requirements) Regulations, 2015 (the SEBI Listing Regulations), we are disclosing that the
Company had conducted Postal Ballot (only through electronic means) for seeking approval of members of the
Company for the following agendas:

(The “Esop 2018 / Plan”) to the Employees of Subsidiary
Companies.
3. Appointment of M/s. N L Bhatia & Associates, Practicing Ordinary Resolution
Company Secretaries as the Secretarial Auditor and payment
of their remuneration.
4. Adoption of Amended Articles of Association of the Special Resolution
Company for granting special rights to certain shareholders
of the Company pursuant to waiver cum Amendment
Agreement and Licensing Agreement.
5. Grant of Special Rights pursuant to Governance Agreement Special Resolution
dated March 19, 2026.
The remote e-voting period for the same commenced from 09:00 am IST on Saturday, August 8, 2026 and
ended at 05:00 pm IST on Sunday, September 6, 2026.

The Postal Ballot process was conducted in a fair and transparent manner. After the closure of e-voting period
and based on the Scrutinizer’s Report, the aforementioned resolutions have been approved by the members
with requisite majority.

are also available on the Company’s website at https://sbifunds.com and on CDSL’s website at

[Pursuant to Section 110 of the Companies Act, 2013 and Rule 20 and Rule 22 of the Companies
(Management and Administration) Rules, 2014 read with amendments made thereto and
Regulation 44 oft he SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
as amended]

Dear Sir,
I. I, Bhaskar Upadhyay, Practicing Company Secretary (Membership No. FCS 8663 / C.P No:
9625), Partner, Mis.NL Bhatia & Associates, (UIN: Pl996MH055800 and Peer Review no.
6392/2025), have been appointed as a Scrutinizer by the Board of Directors of SBI Funds
Management Limited ("the Company") vide Board Resolution dated August 03, 2026, for the
purpose of scrutinizing the c-voting on resolutions carried out through Postal Ballot and
ascertaining the requisite majority on e-voting undertaken as per the provisions of Section 110 of
the Companies Act, 2013 read with Rule 20 and 22 of the Companies (Management and
Administration) Rules, 2014 and Regulation 44 of Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI Listing Regulations").
2. The Management of the Company is responsible to ensure the compliance with the requirements
of the Companies Act, 2013, Rules, Circulars and Notifications issued by the Ministry of Corporate
Affairs ("MCA Circulars") and SEBI Listing Regulations relating to voting through electronic
means on the resolutions contained in the Postal Ballot Notice dated August 03, 2026.
3. My responsibility as a Scmtinizer for the e-voting during the Postal Ballot is restricted to make
Scrutinizer's Report of the votes cast "IN FAVOUR" or "AGAINST" the Special & Ordinary
resolutions stated in the Notice, based on the reports generated from the e-voting system provided
by Central Depository Services (India) Limited ("CDSL"), the authorized agency to provide e
voting facilities, engaged by the Company.
4. Further to above, I submit my Report as under:
4.1. The Company has provided the e-voting facility through CDSL, on their website
www.evotingindia.com. The Company has uploaded the items of business to be transacted
on the website of the Company and also on the website of CDSL to facilitate its
shareholders to cast their votes through e-voting.
The Company as on the "Cut - Off Date" i.e. on Monday, August 03, 2026, had
14,05,861 Members out of which 14,05,861 Members (i.e., excluding Trading Members
and their associates or agents of such Trading Members) were entitled to vote on the
resolutions, as set out in the Notice of the Postal Ballot.

4.3. The Postal Ballot Notice dated August 03, 2026 was sent to 13,54,218 Members on
August 03, 2026, whose e-mail ids were registered with the Company's Registrar and
Share Transfer Agent/ Depositories. The Postal Ballot Notice inter alia contained the
detailed procedure to be followed by the members who were entitled to cast their votes
electronically as provided under Rule 20 of the Companies (Management and
Administration) Rules, 2014.
4.4. As prescribed in the aforementioned Rules, the Company has also published an
advertisement in Newspapers on August 08, 2026, in Financial Express (English) and in
Navshakti (Marathi) which carried the required information as specified in the said
Rules.
4.5. The e-voting commenced on Saturday, August 8, 2026, 9.00 a.m. 1ST and ended on
Sunday, September 6, 2026, 5:00 p.m. 1ST. Thereafter, thee-voting was disabled.
4.6. The votes cast by the Shareholders through e-voting facility were thereafter unblocked. I
have scrutinized and reviewed the votes tendered by verifying it using the Scrutinizer's
Login on the CDSL e-voting website after the closure of
