Subject: Disclosure under Regulation 30 of SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015: Execution of Joint Venture Agreement between Vishnu
Chemicals Limited, India and DCX Chrome SAS, France.
Pursuant to Regulation 30 read with Para A of Part A of Schedule III of the Securities and
Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015,
as amended (“SEBI Listing Regulations”), we hereby inform you that Vishnu Chemicals Limited
(“the Company”) has entered into a joint venture agreement (“JV Agreement”) with DCX Chrome
SAS (“DCX”) having registered office at 68 rue Jean Jaures, 59770 Marly, France for setting up a
greenfield manufacturing facility at Vishakhapatnam, Andhra Pradesh, India, with a proposed
facility of 6,000 tonnes per annum (TPA) of high purity chromium metal.
For this purpose, the Company and DCX will incorporate a joint venture company in India ("JV
Company"), which will be owned by the Company and DCX in the ratio of 50:50.
The details as required under Regulation 30 of the SEBI Listing Regulations read applicable
SEBI circulars are enclosed herewith as ‘Annexure – A’ and ‘Annexure – B’.
The aforesaid information is also being placed on the website of the Company at
