Ref: Extra-Ordinary General Meeting (“the EOGM / the Meeting”) of the members of Tembo Global Industries Limited (“the Company”) held on Friday, September 04, 2026 AT 12:30 P.M. (IST) through Video Conferencing (“VC”). I, Mrs. Amita Karia, Practicing Company Secretaries appointed by the Board of Directors of the Company as a Scrutinizer to scrutinize the remote e-voting process and e-voting process during the EOGM in accordance with section 108 of the Companies Act, 2013 (“the Act”) read with Rule 20 of the Companies (Management and Administration) Rules, 2014 for EOGM of the Company held through VC in accordance with the General Circulars No. 20/2020, 02/2021, 19/2021, 21/2021, 02/2022 and 10/2022 dated May 05, 2020, January 13, 2021, December 08, 2021, December 14, 2021, May 05, 2022, December 28, 2022, September 25, 2023 and General Circular No. 09/ 2024 dated September 19, 2024, respectively issued by the Ministry of Corporate Affairs (collectively referred to as “MCA Circulars”), circulars dated May 12, 2020, January 15, 2021, May 13, 2022, January 5, 2023 and October 7, 2023 issued by the Securities and Exchange Board of India (“SEBI Circulars”) and applicable provisions of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("SEBI LODR Regulations"), Secretarial Standard on General Meetings (“SS-2”) issued by the Institute of Company Secretaries of India and other applicable laws, rules and regulations (including any statutory modification or re-enactment thereof for the time being in force and as amended from time to time), on the resolutions contained in the Notice of EOGM of the Company. We hereby submit our report as under: 1. As confirmed by the Company, the notice of EOGM, was sent through electronic mode to those members whose email addresses were registered with the Registrar and Share Transfer Agent of the Company / Depository Participant(s). 2. The members of the Company on cut-off date i.e. Friday, August 28, 2026, were entitled to vote on the resolution as set out in the notice of EOGM of the Company. 3. The Company has engaged in the services of e-voting facility provided by Bigshare Services Private Limited (“Bigshare”) The remote e-voting period commenced on Tuesday, September 01, 2026 at 09: 00 A.M. and ends on Thursday, September 03, 2026 at 05:00 P.M. (“remote e-voting period”). 4. The Company has also availed e-voting facility provided by the Bigshare Services Private Limited (“Bigshare”) to the shareholders present at the EOGM through VC and who had not cast their vote during the said remote e-voting period. Post conclusion of the meeting the votes cast through remote e-voting and during the meeting were unblocked in the presence of two witnesses, Ms. Janhavi Kulkarni and Ms. Mahek Rander who are not in the employment of the Company and counted thereafter. The register has been maintained electronically to record the assent or dissent, received, mentioning the particulars of name, address, folio number or DP ID / Client ID of the shareholders, number of shares held by them and nominal value of such shares. There were no shares with differential voting rights in the Company. Hence, there is no requirement of maintaining the list of shares with differential voting rights. 8. The management of the Company is responsible for ensuring compliance with the requirements of the Companies Act, 2013 and rules made thereunder read with MCA and SEBI circulars relating to voting through electronic means on the resolutions contained in the Notice of EOGM of the Company. Our responsibility as the scrutinizer for the remote e-voting process is restricted to making a scrutinizer report of the vote cast in favour / against the resolution stated above, based on the reports generated from the e-voting system provided by the Bigshare, the authorized agency engaged by the Company to provide e-voting facilities. 9.
