Technologies Private Limited pursuant to the Share Purchase Agreement (SPA)

In continuation to intimation made on 3rd August, 2026, this is to inform you that the Company
has acquired 850 Equity shares of Dheya Engineering Technologies Private Limited for an
aggregate consideration of Rs. 2,99,82,364.50/- through a secondary purchase, pursuant to the
terms of the SPA dated August 07, 2026.
The disclosure as required under Schedule III of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, read with Regulation 30 of the SEBI (Listing Obligations and
Disclosure Requirements) Regulations, 2015 and the SEBI Master Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, as amended from time to
time, is attached herewith and marked as Annexure A to this letter.

in terms of products/line of business for defence and energy applications. The
acquired, date of incorporation, history of company is working on a range of

completed the combustor design for 60
kW turbogenerator in collaboration with
IISc Bangalore.
Dheya has successfully demonstrated a
hydrogen-based high-speed anode
blower for the Indian Navy's submarine
program. The product has received
global ATEX certification, validating its
reliability for operation in hazardous
environments.
To support future growth, Dheya is
establishing an integrated gas turbine
engine testing facility, which will
enhance both testing capabilities and
production readiness.
