Indian Standard Time (“IST”), through Video Conferencing/ Other Audio Visual Means (“VC/OAVM”) facility in compliance with the applicable provisions of the Companies Act, 2013, Rules framed thereunder and the Listing Regulations read with various applicable circulars issued in this regard by the Ministry of Corporate Affairs and Securities and Exchange Board of India (SEBI). Accordingly, the Annual Report for the financial year ended 31st March, 2026 including therein the Notice convening the 19th Annual General Meeting are being sent only by email to all the Members of the Company whose email address is registered with their respective Depository Participant/s. Further, in accordance with Regulation 36(1)(b) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), a letter providing a web-link for accessing the Annual Report will be sent to those Members who have not registered their e-mail IDs. Mr. Vinay Uchil Chairman and Executive Director Marine Electricals (India) Limited Dear Shareholders, It is my privilege to present to you the Annual Report of Marine Electricals (India) Limited for the financial year 2025–26. The year under review was marked by significant shifts in the global technology, economic and geopolitical landscape. Rapid advances in Artificial Intelligence (AI) continued to accelerate innovation and transform businesses across industries, opening new avenues for productivity, efficiency and growth. At the same time, evolving global tariff regimes and geopolitical tensions, including the conflict in West Asia, created disruptions across supply chains and capital flows, contributing to an increasingly complex and uncertain operating environment. Despite these challenges, Marine Electricals (India) remained resilient and delivered a strong performance during the year. Our ability to navigate a dynamic business environment was supported by disciplined execution, operational agility, strong customer relationships and a clear focus on our strategic priorities. We continued to strengthen our capabilities, pursue emerging opportunities and build a robust foundation for sustainable, long-term growth. On behalf of the Board of Directors, I am pleased to share your Company’s performance for the year. Our order book position strengthened significantly during FY 2025–26, reaching approximately Rs. 12,546 million as at the end of the financial year, compared with Rs. 5240 million in FY 2024–25. This represents a substantial increase of nearly 139% year-on-year and reflects the growing confidence of our customers in our capabilities, comprehensive product portfolio and execution track record. With the continued expansion of our product portfolio and our ability to offer a broader range of solutions to our customers, we anticipate further strengthening of our order book during FY 2026–27. Our standalone financial performance was encouraging. Revenue grew to Rs. 7,469.37 million from Rs. 7,005.84 million in the previous year, while net profit increased by 28.9% to Rs. 528.70 million compared to Rs. 410.23 million in FY 2024–25. These results reflect not only our ability to scale but also the trust our customers continue to place in us, even in uncertain times. Looking ahead, our focus remains on R&D, indigenisation, innovation, and fiscal discipline.
