The said re-appointment of Mr. Babbar shall be subject to the approvals of the RBI and the Shareholders of the Bank, and Mr. Babbar shall be liable to retire by rotation. Mr. Babbar is not related to any of the other Directors of the Bank. Further, he is not debarred/ disqualified from holding office of director by virtue of any Order of the Securities and Exchange Board of India or any other such authority. Changes in Senior Management 2) This is in reference to the letter bearing Ref. No.: BBL/418/2023-24, dated November 28, 2023. Please note that on the basis of the recommendations of the NRC and the Audit Committee of the Board (‘ACB’) of the Bank, the Board, at its meeting held today, has approved the re- appointment of Mr. Amitava Goswami, as the Chief Compliance Officer ('CCO') of the Bank, for a further period of three years, effective November 29, 2026. 3) This is in continuation to the letter bearing Ref. No.: BBL/SEC/019/2026-27, dated April 27, 2026, intimating the appointment of Mr. Sandip Kumar Bubna as the Chief Audit Executive (‘CAE’)/ Head of Internal Audit (‘HIA’) of the Bank, on an interim basis, with effect from April 27, 2026, for a period of six months or till the date a new CAE/ HIA joins the Bank, whichever is earlier. Please note that on the basis of the recommendations of the NRC and the ACB, the Board, at its meeting held today, has approved the extension of the term of appointment of Mr. Bubna as the CAE/ HIA of the Bank, on an interim basis, for a period of four months till February 26, 2027 or till the joining of the candidate once identified for the position of CAE, whichever is earlier. 4) This is in continuation to the letter bearing Ref. No.: BBL/SEC/095/2026-27, dated July 21, 2026, intimating the extension of the term of appointment of Mr. Prakash E as the Chief of Internal Vigilance (‘CIV’) of the Bank, on an interim basis, up to September 30, 2026 or till the date new CIV joins the Bank, whichever is earlier. In this regard, please note that on the basis of the recommendations of the NRC and the ACB, the Board, at its meeting held today, has approved the appointment of Mr. Nitin Arora as the new CIV of the Bank, for a period of 3 years, with effect from the date of his joining the Bank, i.e., September 22, 2026. 5) Further, with the joining of Mr. Nitin Arora as the CIV of the Bank, Mr. Prakash shall cease to be the Interim CIV of the Bank. He is leading the business functions including Liabilities, Emerging Entrepreneur Business, Wholesale Banking, Housing Finance, Retail Assets, collections, etc. Mr. Babbar has over 35 years of experience across the banking sector in various leadership roles. He is an accomplished senior leader, with vast experience across multiple spheres of banking. He has a proven track record of creating new businesses and propelling existing ones, consistently delivering growth multiples in AUM, market share, and profitability. During his tenure spanning more than 23 years with HDFC Bank, he has handled various leadership assignments and has successfully led large teams across Transportation and Infrastructure Finance, Rural Banking and Retail Liabilities. He was the Group Head - Transportation, Infrastructure and Tractor Finance Group at HDFC Bank. Mr. Goswami is a seasoned banker with extensive experience in various facets of banking including branch banking, banking operations, process management and compliance. He has been in banking industry for more than 32 years. He has been associated with the Bank since 2015 and before his posting as the CCO of the Bank, he was designated as the Head - Branch Operations & Customer Service. Prior to joining Bandhan Bank, he has worked with Standard Chartered Bank for more than 9 years and Axis Bank for 12 years in various positions in retail banking and banking operations.
