Dear Sir/Madam, Pursuant to 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we wish to inform you that the Board of Directors of the Company at its Meeting held today, inter alia, approved the following: 1. Proposed Incorporation of Wholly Owned Subsidiary of the Company in the United Arab Emirates (UAE): The Company proposes to incorporate a wholly-owned subsidiary in the United Arab Emirates (UAE), which will be intermediary holding company in the UAE for international business, with an aggregate equity investment of up to INR 250 Crores. The Company will provide the requisite details and make the necessary disclosures upon incorporation of the aforesaid subsidiary, in accordance with applicable laws and regulations. 2. Proposed Incorporation of Wholly Owned Subsidiary of the Company in Vietnam: The Company proposes to incorporate a wholly owned subsidiary (held directly and indirectly through its UAE intermediate holding company) in Vietnam. The said company setting up a manufacturing facility for battery packs with an aggregate investment of up to INR 500 crores funded partially by way of internal accruals and external borrowing.
