PER REGULATIONS 34 AND 53 OF SEBI (LODR) REGULATIONS, 2015
Dear Sir,
With reference to the captioned subject, please find enclosed herewith the copy of
Notice of 19th Annual General Meeting (“AGM”) of the Company scheduled to be held
on Wednesday, the 30th September, 2026 at IST 15:00 hrs. through Video
Conferencing (“VC”) or Other Audio Visual Means (“OAVM”), in accordance with
relevant circulars issued by Ministry of Corporate Affairs and Securities and Exchange
Board of India ("Circulars") alongwith the Annual Report for the financial year 2025-
26. The said Annual Report also contains the Corporate Governance Report,
Management Discussion & Analysis Report, Business Responsibility and Sustainability
Report as per the relevant provisions of the Companies Act, 2013 and SEBI (LODR)
Regulation, 2015.
Pursuant to the provisions of Section 108 of the Companies Act, 2013 and Rule 20 of
the Companies (Management and Administration) Rules, 2015 read with Regulation
44 of SEBI (LODR) Regulations, 2015 and Circulars, the shareholders of the Company
are being provided the facility for voting through remote e-voting, for participation in
the AGM through VC/OAVM facility and e-Voting during the AGM through CDSL e-
Voting platform. The procedure for participating/joining in the meeting through
VC/OAVM and e-Voting are provided in Notice of AGM.
The e-Voting period commence on, Sunday, 27th September, 2026 at 9.00 a.m. and
ends on Tuesday, 29th September, 2026 at 5.00 p.m. During this period,
shareholders holding shares either in physical form or in dematerialised mode as on
Wednesday, 23rd September, 2026 (cut-off date) may cast their vote electronically.
Notice of the 19th AGM alongwith the Annual Report for the financial year 2025-26 is
also available on the Company’s website: www.imdcal.com.
