Dear Sir/Madam, In continuation of our letter dated 1st September, 2026 regarding the intimation of the proposal for recommendation of dividend for the financial year 2025-26 by the Board of Directors. We hereby inform you that the Board of Directors of the Company, at its meeting held today, has recommended a final dividend of Rs.0.50 per equity share (i.e. 5%) of face value of Rs. 10/- each for the financial year 2025-26, subject to the approval of the Members of the Company at the ensuing Annual General Meeting. The said recommended dividend shall be payable on the 4,03,39,200 equity shares of Rs.10/- each or such other number of outstanding shares as on the record date (whether listed or not on the Stock Exchange), subject to applicable provisions of law. The Record Date has been fixed as Tuesday, 22nd September, 2026 for the purpose of determining the eligibility of Members entitled to receive the said dividend. Accordingly, the dividend, if approved by the Members, shall be paid to those equity shareholders whose names appear in the Register of Members of the Company or in the records of the Depositories as beneficial owners of the equity shares as on the said Record Date. Pursuant to the SEBI (LODR) (Fifth Amendment) Regulations, 2025, physical dividend warrants have been completely discontinued. Dividends will be paid exclusively via electronic modes (NEFT/RTGS/ECS). Shareholders holding shares in electronic form must ensure to update their bank details (including IFSC and MICR) with their respective Depository Participants (DP) before the Record Date to avoid withholding or delays in credit.
