The Seventh Annual General Meeting (AGM) of the Company was held on Friday, September 4, 2026 at 11:00 A.M. (IST)
through Video Conferencing / Other Audio-Visual Means (VC/OAVM) to transact the businesses as stated in the Notice
dated July 31, 2026, convening the AGM.
The summary of the proceedings of the Seventh AGM of the Company as required under Regulation 30 read with Para A of
Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (SEBI Listing
Regulations) is enclosed herewith as Annexure A. Further, the details in accordance with SEBI Listing Regulations read
with SEBI Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026 is enclosed as Annexure B.
The AGM commenced at 11:00 A.M. (IST) and concluded at 12:35 P.M. (IST).

Summary of the proceedings of the Seventh Annual General Meeting
The Seventh Annual General Meeting (“AGM” or “Meeting”) of the Members of Leela Palaces Hotels & Resorts Limited
(formerly known as Schloss Bangalore Limited) (“Company”) was held on Friday, September 4, 2026 at 11:00 A.M. (IST)
through Video Conferencing / Other Audio-Visual Means (“VC/OAVM”). The Meeting was conducted in accordance with
the applicable provisions of the Companies Act, 2013 (“Act”), the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”), and the applicable circulars
issued by the Ministry of Corporate Affairs (“MCA”) and the Securities and Exchange Board of India (“SEBI”). Necessary
arrangements were made to facilitate the participation of Members and enable them to exercise their voting rights
electronically. The statutory registers maintained under the Act and other relevant documents referred to in the Notice
convening the AGM were made available for electronic inspection by the Members during the Meeting. Since the AGM
was conducted through VC/OAVM without the physical presence of Members at a common venue, the facility for
appointment of proxies was not applicable in accordance with the applicable MCA and SEBI circulars. However,
corporate shareholders were entitled to participate through their duly authorised representatives.
Ms. Apurva Purohit, Independent Director and Chairperson of Corporate Social Responsibility Committee, and Ms.
Ananya Tripathi, Non- Executive Director, attended the Meeting through VC from their respective locations.
Further, Mr. Deepak Parekh, Independent Director and Chairman of the Board and Stakeholder Relationship Committee,
Mr. Mukesh Butani, Independent Director and Chairperson of the Audit Committee and the Nomination and
Remuneration Committee, Mr. Ashank Kothari, Non- Executive Director, Mr. Anuraag Bhatnagar, Whole-time Director
and Chief Executive Officer, Mr. Ravi Shankar, Head - Asset Management and Chief Financial Officer and Ms. Jyoti
Maheshwari, Company Secretary and Compliance Officer attended the Meeting from Corporate Office at Mumbai.
Due to unavoidable circumstances, Mr. Ankur Gupta and Mr. Shai Zelering, Non-Executive Directors of the Company,
have conveyed their inability to attend the AGM.
85 Members were present at the meeting through video conferencing. Mr. Deepak Parekh, Chairman of the Board chaired
the AGM.
The Chairman welcomed the shareholders to the Seventh Annual General Meeting of the Company and highlighted the
significance of the occasion, being the Company’s first full financial year as a listed entity and coinciding with 40 years of
The Leela. He thanked the shareholders for their continued confidence and support and reaffirmed the Company’s
commitment to sustainable growth and long-term value creation.
The requisite quorum being present, the Chairman called the Meeting to order.
The Chairman introduced the other Board members, management team and representatives of B S R & Co. LLP, Statutory
Auditor, Makarand M. Joshi & Co., Company Secretaries, Secretarial Auditor and Scrutinizer for the AGM, who were
present in the meeting.
The Chairman then provided a brief overview of the macroeconomic and industry landscape, highlighting the strong
performance of the hospitality sector. He reflected on the Company’s progress and disciplined growth. Key focus areas
such as people and Culture, and governance were also shared.
The Chairman informed the Members that the Statutory Auditors’ Report and Secretarial Auditor’s Report did not contain
any qualifications or adverse remarks. He further informed that the statutory documents are open for inspection in
electronic mode during the AGM.
With the permission of members present in the Meeting, the Notice of the AGM was considered as read.

Members who registered themselves as Speakers were invited to express their views, considerations and seek
clarifications, if any, on the resolutions set out in the Notice. The Members who had been listed as speaker shareholders
were given an opportunity to speak and their queries were suitably addressed by the Chairman and
Mr. Anuraag Bhatnagar.
The Chairman informed the Members that the Company had provided the facility to cast votes electronically through the
National Securities Depository Limited (‘NSDL’) system before the Meeting. He further informed that the e-voting facility
was also made available during the AGM for the benefit of Members who were present during the Meeting and
