(IST), through Video Conferencing (“VC”)/Other Audio-Visual Means (“OAVM”), in compliance with the provisions of the Companies Act, 2013, read with the various circulars issued by the Ministry of Corporate Affairs and relaxations provided by SEBI from time to time. Sridharan & Associates, Company Secretaries, Secretarial Auditors & Scrutinizer for the Meeting Mr. Piyush Jain, Company Secretary & Compliance Officer, welcomed the Members who participated in the Meeting and briefed them regarding participation through VC/OAVM. He further informed the Members that the AGM was convened through VC/OAVM in compliance with the provisions of the Companies Act, 2013, read with the applicable circulars issued by the Ministry of Corporate Affairs and the Securities and Exchange Board of India from time to time. He further informed the Members that the Notice of AGM and the Annual Report for the financial year ended 31 March 2026 had been sent, within the statutory time limit, to Members whose e-mail IDs are registered with the Company or the Depository Participant(s), and that the same was also available on the Company’s website, with physical copies sent to Members who had requested for the same. A letter providing the web-link to access the Notice and Annual Report was also sent to Members whose e-mail IDs are not registered with the Company/RTA or the Depository Participant(s). He further informed the Members that participation in the AGM commenced 60 minutes prior to the scheduled start time and would remain open for 15 minutes after the conclusion of the AGM to enable voting. He further informed the Members that since the AGM was being held through VC/OAVM, physical attendance of Members has been dispensed with. Members entitled to attend and vote at the Meeting were not entitled to appoint proxies. Bodies corporate were, however, entitled to appoint authorised representatives to attend the AGM and cast their votes through remote e-voting or e-voting during the AGM. The Registered Office of the Company situated at Chennai was deemed to be the venue for the AGM, and the proceedings of the AGM were deemed to have been conducted thereat. Members were also provided the opportunity to inspect, electronically, all documents referred to in the Notice and the Explanatory Statement, up to and including the date of the AGM. Thereafter, Mr. Rahul Arora, Chairman and CEO, chaired the Meeting and welcomed the Members, Directors, Auditors and all participants at the 56th AGM of MPS Limited. Upon confirmation of the presence of the quorum, the Chairman called the Meeting to order. The Chairman then gave a brief introduction of the Directors, Senior Management, Statutory Auditors and Secretarial Auditors present through VC/OAVM. Thereafter, the Chairman delivered his message to the Shareholders. He apprised the Members that FY26 was the most profitable year in the Company’s history, with EBITDA increasing to approximately INR 236 crore, representing a margin of 30.7%, Profit After Tax growing by 16.3%, and earnings per share reaching a record INR 102.11. He noted that the Return on Capital Employed stood at 38.2%, and that the Research business grew by approximately 17% while the Education business grew by nearly 29% during the year. He apprised Members that the Company had welcomed Unbound Medicine into the MPS family and had brought together three corporate learning businesses under one unified global brand. He further stated that the Company did not recommend a final dividend for FY26, having deployed capital during the year towards the acquisition of Unbound Medicine and other opportunities under evaluation. He reaffirmed that the Company’s underlying capital allocation philosophy remained unchanged, noting that MPS had returned more than ₹650 crore to Shareholders over the preceding eight years.
