It is a privilege to write to you at the close of the financial year 2025-26 — a year in which your Company sharpened its focus,
strengthened the quality of its earnings, and positioned itself for the next phase of growth in India’s retail foreign exchange and cross-
The opportunity before us
border payments market.
Few sectors reflect India’s economic confidence as closely as travel and tourism. According to the World Travel & Tourism Council,
the sector contributed approximately US$ 263.6 billion to the Indian economy in 2025 — a growth of 7.3% against a global average
of 4.1% — accounting for close to 6.6% of national GDP and supporting more than 46 million livelihoods. The Council expects this
contribution to rise to about US$ 286.1 billion in 2026 on growth of 8.5%, and to reach nearly US$ 527 billion by 2036, by which time
India is projected to move from the tenth- to the fourth-largest travel and tourism economy in the world.
The drivers of this expansion are structural rather than cyclical. Airport capacity is being added at pace, passport penetration
continues to deepen, and a young and aspirational population is travelling, studying and transacting across borders in numbers that
would have been difficult to imagine a decade ago. The Indian travel market, valued at around US$ 75 billion in FY 2020, is projected
to reach US$ 125 billion by FY 2027, with the hotel segment alone approaching US$ 52 billion. Foreign tourist arrivals rose to 9.95
million in 2024 from 9.2 million in 2023, and foreign exchange earnings from tourism stood at US$ 35.0 billion. Cumulative foreign
direct investment into the sector of US$ 17.2 billion between April 2000 and March 2024 is, to my mind, the clearest evidence that
global capital shares this conviction.
For a regulated business built around cross-border money movement, this is a market with a long runway. Outbound leisure travel,
overseas education and corporate mobility have each become durable sources of demand for retail foreign exchange, prepaid

multicurrency cards and remittance services — precisely the segments your Company serves.

Profit before tax from continuing operations rose more than fivefold to ₹ 107.49 million from ₹ 19.75 million, while profit after tax
from continuing operations nearly trebled to ₹ 56.17 million from ₹ 19.56 million. Total income for the year stood at ₹ 531.26 million
as against ₹ 739.55 million in the preceding year.
The message in these figures is one of quality rather than volume. Your Company has expanded margins substantially on a lower
revenue base, which is the direct outcome of a deliberate shift towards higher-yield retail products, disciplined control over operating
and establishment costs, closer attention to branch and channel economics, and improved realisation across the foreign exchange
and remittance book. Growth pursued at the cost of profitability is growth we can do without; the year under review demonstrates

Your Company continues to invest in technology, partnerships and product design in order to serve students, travellers and corporates
with greater speed and convenience. Delphi remains a trusted counterparty for travel foreign exchange, inbound and outbound
remittances and multicurrency card solutions, and work is under way on new-age offerings intended to make cross-border payments
simpler for the customer without diluting the compliance standards on which this business rests.
Distribution remains a priority. We are strengthening our presence across the entry points that matter — airports, education
corridors and corporate relationships — while progressively shifting routine transactions to digital channels, which improves both

customer experience and unit economics.
Operating in a regulated environment is not a constraint on this business; it is the foundation of it. Your Company remains committed
to the highest standards of regulatory compliance, internal control and transparent disclosure, and to constructive engagement with
the Reserve Bank of India, the Securities and Exchange Board of India, the stock exchanges and all other authorities. The Board and its
Committees have continued to provide close oversight through the year, and the strengthening of our compliance, risk management
and anti-money laundering frameworks remains a standing agenda.
