BOARD’S REPORT
The Members of Cian Healthcare Limited,
Your directors are pleased to present the Board's Report (“Report”) of Cian Healthcare Limited (“Company”) in
accordance with the Companies Act, 2013 (“Act”) read with rules made thereunder. This Report covers the
financial highlights of the Audited (Standalone and Consolidated) Financial Statements (“Financial Statements”)
and other developments in respect of the Company during the Financial Year ended on March 31, 2026 (“Financial
Year”) and any other material development up to the date of this Report.
1. STATUS OF PROCEEDINGS UNDER THE INSOLVENCY AND BANKRUPTCY CODE, 2016 IN RELATION
TO CORPORATE INSOLVENCY RESOLUTION PROCESS DURING THE FINANCIAL YEAR 2025-26:
Members are informed that the Company underwent Corporate Insolvency Resolution Process ("CIRP") under
the Insolvency and Bankruptcy Code, 2016 ("Code"). The CIRP was triggered pursuant to a petition filed by
Shreeji Pharmachem, an Operational Creditor, under Section 9 of the Code, which was admitted by the Hon'ble
National Company Law Tribunal, Mumbai Bench ("NCLT") vide its order dated June 11, 2024. Pursuant thereto,
Mr. Roshen Chordiya (IBBI Registration No.: IBBI/IPA-001/IP-P02840/2023-2024/14347) was appointed as the
Interim Resolution Professional ("IRP") of the Company.
Subsequently, the Company arrived at a settlement with the Operational Creditor, pursuant to which the IRP
filed an application for withdrawal of the CIRP. The Hon'ble NCLT, being satisfied that the settlement had been
reached prior to constitution of the Committee of Creditors ("COC"), allowed the withdrawal vide its order dated
June 20, 2024.
On account of subsequent default in the settlement terms, the Operational Creditor filed a Restoration
Application, which was admitted by the Hon'ble NCLT vide its order dated August 14, 2024, thereby restoring
the CIRP with effect from June 11, 2024, with commencement timelines reckoned from August 14, 2024,
pursuant to the deferment sought by the IRP. The COC, at its meeting held on February 12, 2025, confirmed
the appointment of Mr. Roshen Chordiya as the Resolution Professional ("RP"), who thereupon assumed
control and custody of the management and operations of the Company.
Of the resolution plans placed before the COC, the plan submitted by Mr. Pradeep Kumar Jain, the
Successful Resolution Applicant ("SRA"), was unanimously approved by the COC at its meeting held on
March 28, 2025, and was thereafter filed before the Hon'ble NCLT under Sections 30(6) and 31(1) of
the Code read with Regulation 39 of the IBBI (Insolvency Resolution Process for Corporate Persons)
Regulations, 2016. The Hon'ble NCLT approved the resolution plan vide its order dated December 18, 2025
("NCLT Order" / "NCLT Approval Date"), which was duly intimated to the relevant statutory and regulatory
authorities.
Board’s Report
Constitution of the Resolution Plan Implementation Committee
Pursuant to the NCLT Order, the Company constituted a Resolution Plan Implementation Committee
("Implementation Committee") with effect from the NCLT Approval Date, to remain in existence until the
Resolution Plan Closure Date (as defined under the approved resolution plan), such intervening period being
referred to as the "Resolution Plan Implementation Period". The Implementation Committee comprised the
following:

The Implementation Committee was vested with powers coextensive with those of the Board of Directors under
the Companies Act, 2013 and the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
exercisable strictly during the Resolution Plan Implementation Period and solely for implementation-related
purposes including oversight of stakeholder payments as contemplated under the approved resolution plan,
statutory and ancillary filings, and compliance with applicable law and directions of the Hon'ble NCLT, so as to
ensure operational continuity of the Company.
Dissolution of the Implementation Committee:
Upon successful implementation of the resolution plan, the mandate of the Implementation Committee stood
concluded, and it was accordingly dissolved with effect from February 1, 2026, consequent to completi
