To consider and adopt audited standalone financial statements of the Company for the financial year ended on 31st March 2026 together with Director’s report and auditor’s report thereon and in this regard, to consider and if thought fit, to pass the following resolutions as an ORDINARY RESOLUTION: “RESOLVED THAT the audited standalone financial statements of the Company for the financial year ended on 31st March 2026 comprising of Balance Sheet as on 31st March, 2026 and Statement of Profit & Loss and cash flow statement for the Financial year ended on 31st March, 2026 together with all annexure and attachment thereto including the Directors’ Report and Auditors’ Report thereon, which have already been circulated to the Members and as laid before this meeting, be and are hereby considered and adopted.” 2. To declare dividend recommended by Board of Directors at Rs. 0.2/- (10%) per equity share of Rs. 2/- each and in this regard, to consider and if thought fit, to pass the following resolutions as ORDINARY RESOLUTION: “RESOLVED THAT the final dividend of Rs. 0.2/- (10%) per Equity Share of face value of Rs. 2/- each as recommended by the Board of Directors be and is hereby declared for the financial year ended 31st March 2026.” 3. To appoint a director in place of Mr. Dhaval Jitendra Kumar Mistry (DIN: 03411290), who retires by rotation and being eligible, offers himself for reappointment and in this regard, to consider and if thought fit, to pass the following resolutions as ORDINARY RESOLUTION: “RESOLVED THAT the retiring Director, Mr. Dhaval Jitendra Kumar Mistry (DIN: 03411290), be and is hereby re− appointed as a Director of the Company, liable to retire by rotation.” SPECIAL BUSINESS: 4. To amend object clause of the E-Memorandum of Association (E-MOA) of the Company and in this regard, to consider and if thought fit, to pass the following resolution as SPECIAL RESOLUTION: “RESOLVED THAT pursuant to the provisions of Sections 4, 13, 15, and other applicable provisions, if any, of the Companies Act, 2013 and the rules made thereunder (including any statutory modifications, amendments, re- enactments or substitutions thereof, for the time being in force), and subject to the provisions of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, and such other approvals, consents, permissions and sanctions as may be required from the Registrar of Companies or any other regulatory/statutory authority(ies), the consent of the members be and is hereby accorded to amend and adopt a new clauses Memorandum of Association of the Company by effecting the following alterations in the existing MOA of the Company by of way of addition / insertion of certain clauses in the manner set out below: a. Inserting new sub-clauses under the Object Clause 3(a), after existing sub-clause 9, as under: 10. To carry on the business of issuing, operating, managing, administering and facilitating Prepaid Payment Instruments (PPIs), including closed system, semi-closed system and open system PPIs, digital wallets, prepaid wallets, stored value cards and other permitted stored-value payment instruments, and to undertake all activities incidental or ancillary thereto, in accordance with the guidelines issued by the Reserve Bank of India (RBI) from time to time. 11. To carry on the business as a Bharat Bill Payment Operating Unit (BBPOU) under the Bharat Bill Payment System (BBPS) framework and to provide bill payment and collection services, including aggregation and onboarding of billers, facilitation, processing and settlement of utility and other permitted bill payments through digital, electronic, physical and other permitted channels. 12. To provide, establish, develop, operate, manage and maintain technology infrastructure, platforms, applications, systems and services for the Unified Payments Interface (UPI) and other permitted digital payment systems, including providing services as a Payment Service Provider (PSP), operating and managing payment switches, transaction processing systems and related infrastructure, and facilitating real-time fund transfers, merchant payments, person-to-person payments and other permitted payment transactions. 13. To engage in the business of issuing, distributing, processing, managing and servicing debit cards, credit cards, prepaid cards and other permitted payment cards, whether independently or in Annual Report 2025-26 02 GVP INFOTECH LIMITED partnership, arrangement or collaboration with banks, financial institutions, card networks and other authorised entities; and to undertake, manage and facilitate Bank Identification Number (BIN) sponsorship arrangements, card programme management, card transaction processing, switching, settlement, reconciliation and other card-based payment services. 14. To act as a Third-Party Application Provider (TPAP) in the UPI ecosystem and to develop, operate, manage and provide applications, platforms and user interfaces enabling customers and users to register for, access and use UPI services, link or associate their bank accounts, initiate, receive and facilitate payment transactions and avail other permitted UPI-related services, directly or through arrangements with authorised Payment Service Providers and participating banks, and to undertake all related activities. b. Inserting new sub-clauses under the Object Clause 3(b), after existing sub-clause 22, as under: 23. To design, develop, own, operate, license and maintain technology platforms, software, applications, APIs and payment systems for enabling secure and efficient payment processing. 24. To provide value-added services including billing, invoicing, subscription management, recurring payments, tokenization, fraud detection, risk management, analytics, reporting and reconciliation tools. 25. To provide and manage point-of-sale (POS), mPOS devices, QR code systems, soundbox solutions and contactless payment infrastructure. 26. To facilitate domestic and cross-border payment solutions, including international payment acceptance and currency conversion in association with authorized entities. 27. To act as a service provider, agent, or intermediary for banks, financial institutions, payment system operators, and other regulated entities. 28. To enter into partnerships, alliances, or arrangements with banks, NBFCs, payment networks, card schemes, and other financial service providers for offering integrated services. 29. To facilitate merchant financing, credit enablement, BNPL solutions, or similar services in collaboration with regulated lenders, without undertaking lending on its own account unless separately authorized. 30.
