No. RITES/SECY/NSE Date: July 09, 2026 To To Listing Department, Corporate Relationship Department, National Stock Exchange of India Limited, BSE Limited, Exchange Plaza, C-1, Block G, Bandra - Rotunda Building, Kurla Complex, Bandra (E), P J Towers, Dalal Street, Fort, Mumbai – 400051 Mumbai - 400 001 Symbol- RITES Scrip Code- 541556 Subject: Board comments on fine levied by the Stock Exchanges Dear Sir/Madam, This is with reference to NSE Letter and BSE Email dated May 27, 2026, imposing fine of ₹94,400/- each on the Company for non-compliance of the provisions of Regulation 17(1) (Board Composition, including failure to appoint woman director) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") for the quarter ended on March 31, 2026. The aforesaid matter of non-compliance was placed before the Board of Directors of the Company in their meeting held on June 25, 2026, wherein Board deliberated and noted that “the non-compliance observed by BSE & NSE is beyond control of the Company and the Company has taken pro-active steps by informing and requesting Administrative Ministry i.e., Ministry of Railways well in advance, about the potential non-compliance. The Board also expressed its concern on the notice received from BSE & NSE and advised that Administrative Ministry be requested on regular basis to expedite the process to appoint requisite number of independent directors including woman independent director on RITES Board to avoid non-compliance of Listing Regulations, Companies Act, 2013 and other applicable laws. Further, we would like to submit that, being a Government Company and as per Articles of Association of the Company, the power to appoint Independent Directors on the Board of the Company is vested with Hon’ble President of India acting through administrative Ministry i.e. Ministry of Railways, Government of India and the Company have no role in the appointment of Directors.
