Bandra Kurla Complex, Scrip Code: 544732 Bandra (E), Mumbai – 400051 NSE Symbol – INNOVISION Subject: Intimation under Regulation 30 read with Para A(19)(a) of Part A of Schedule III of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) – Search conducted by Directorate of Enforcement Dear Sir/Madam, This is to apprise you that the company had filed a W.P.(C) No. 12339/2025 before the Hon’ble Delhi High Court challenging the Debarment Order dated 25.07.2025 issued by NHAI. The Hon'ble High Court, vide order dated 12 September 2025 in W.P.(C) No. 12339/2025, had stayed the operation of the impugned NHAI debarment order at the interim stage, subject to the final outcome of the writ petition. Further in the connected matters the Hon’ble Delhi HC has ordered in favour of the petitioners setting aside the impugned debarment orders. NHAI in its written note in Paragraph 16, on Arguments in the matter titled Innovision Ltd vs NHAI has candidly admitted that this Hon’ble Court has quashed such debarment orders in the said batch matters. The company is therefore expected to obtain the same ruling in its matter as well. Now, we wish to inform you that in this connection the Directorate of Enforcement (“ED”), Lucknow Zonal Office, conducted searches at: (i) the office premises of the Company situated at Gurugram, Haryana; and (ii) the residential premises of Shri Randeep Hundal, Chairman and Managing Director of the Company, situated at Gurugram, Haryana. 1. Search at the Company's Office The search at the Company's office was conducted pursuant to Search Warrant No. 28/2026 dated 01 September 2026, issued under Section 17 of the Prevention of Money Laundering Act, 2002 (“PMLA”). The search commenced at approximately 07:30 A.M. on 02 September 2026 and concluded at approximately 12:30 A.M. on 03 September 2026. During the search, the ED officers examined various records and electronic data available at the Company's office. Certain documents/data pertaining to the Company were copied onto a 16 GB pen drive, which was taken by the ED, as recorded in the Panchnama. The statement of the Chief Financial Officer of the Company was also recorded under Section 17(1)(f) of the PMLA. As recorded in the Panchnama, the records examined included, inter alia, documents relating to NHAI debarment proceedings, toll collection reports, NHAI contracts/Letters of Award, FIR/case records and orders of the Hon'ble High Court connected with the aforesaid matters. Search at the Residential Premises of the CMD The search at the residential premises of Shri Randeep Hundal was conducted pursuant to Authorization No. 23 of 2026 dated 01 September 2026, issued under Section 17 of the PMLA. The search commenced at approximately 07:40 A.M. on 02 September 2026 and concluded at approximately 10:20 P.M. on 02 September 2026. As recorded in the Panchnama, the search was conducted in the presence of the panch witnesses and no incriminating documents were found and seized from the said premises. The Company has extended and continues to extend its full cooperation to the authorities in connection with the proceedings. At this stage, the Company has not been informed of any final finding of violation or contravention arising from the aforesaid searches. The search proceedings at the Company's office did not result in any disruption to the normal business operations of the Company. The Company shall make appropriate disclosures to the Stock Exchanges regarding any further material developments, as may be required under applicable laws.
