Further, in pursuance of Regulation 34 (1) of Listing Regulations, please find enclosed herewith the Annual Report for the financial year 2025-26, inter-alia containing the Notice of 22nd AGM of the Company. Smt. D. Thara is a distinguished officer of the Indian Administrative Service (IAS), Gujarat Cadre (1995 batch), and has been serving as the Chairperson & Managing Director of Hemisphere Properties India Limited since November 2019. She is presently serving as Secretary, Department of Capital Development, Ministry of Housing and Urban Affairs (MoHUA), Government of India, where she is associated with policy formulation and implementation relating to urban development, housing and public infrastructure. With nearly three decades of experience in public administration, urban governance and infrastructure development, Smt. Thara has held several key leadership positions in both the Government of Gujarat and the Government of India. She previously served as the Managing Director, Gujarat Industrial Development Corporation (GIDC), where she played an important role in promoting industrial infrastructure and facilitating industrial development across the State. She has also served as Collector and District Development Officer in districts including Ahmedabad, Kheda, Vadodara and Surendranagar, leading governance, land administration and developmental initiatives. Her contributions to urban governance have been particularly significant. As Deputy Municipal Commissioner, Ahmedabad Municipal Corporation, she was closely associated with the implementation of several flagship projects under the Jawaharlal Nehru National Urban Renewal Mission (JnNURM) and played a key role in the development of Ahmedabad's Bus Rapid Transit System (BRTS), one of India's pioneering urban mobility initiatives. In October 2014, she became the first woman Municipal Commissioner of Ahmedabad, marking a significant milestone in the city's administrative history. At the national level, Smt. Thara has contributed to the formulation and implementation of urban development policies through her leadership roles in the Ministry of Housing and Urban Affairs. Her continued responsibilities in the Ministry reflect the confidence reposed in her administrative capabilities and extensive experience in urban transformation, infrastructure planning and institutional governance. Her rich administrative experience, strategic vision and commitment to good governance continue to provide valuable guidance to the Company in strengthening corporate governance and pursuing sustainable long-term growth Hemisphere Properties India Limited Shri Ravi Kumar Arora is an Indian Administrative Service (IAS) officer of the 2006 batch, Gujarat Cadre, and is presently serving as Joint Secretary, Ministry of Housing and Urban Affairs (MoHUA), Government of India. He has nearly two decades of experience in public administration and has held several important assignments at the State and Central Government levels. During his tenure in the Government of Gujarat, he served as District Collector in Valsad, Bharuch, Navsari and Mahisagar, besides holding other key administrative positions. He also deputation. Manasi Sahay Thakur, an Indian Administrative Service (IAS) officer of the 2009 batch, Himachal Pradesh Cadre, served as a Director on the Board of Hemisphere Properties India Limited from January 20, 2025 to February 17, 2026. A Mechanical Engineer by qualification, ard University. With over 16 years of administrative experience, she has held several key positions in the Government of Himachal Pradesh, including Labour Commissioner-cum-Director of Employment, Director, Tourism & Civil Aviation, Managing Director of State Public Sector Enterprises, and Deputy Commissioner, Bilaspur. Her experience spans public administration, tourism, labour and employment, civil supplies, social development and district administration. Her diverse experience in policy formulation, governance and institutional leadership provided valuable strategic guidance to the Board. Hemisphere Properties India Limited Smt. Tanvi Garg was appointed as a Director on the Board of Hemisphere Properties India Ltd. effective November 8, 2023 and upto 17 February 2026. An accomplished Indian Administrative Service (IAS) officer of the AGMUT 2009 cadre, She is currently under the Ministry of Housing and Urban Affairs.With over a decade of distinguished service, She brings extensive experience in public administration and policy implementation.
