Pursuant to Regulation 34(1) of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, please find enclosed herewith Notice of the 34th AGM and Annual Report of
the Company for the Financial Year (FY) 2025-26.
The 34th Annual General Meeting ("AGM") of the Members of the Company will be held on
Monday, September 28, 2026 at 04:00 P.M. (IST) through Video Conferencing ("VC")/ Other
Audio-Visual Means ("OAVM"), in accordance with the applicable circulars issued by the
Ministry of Corporate Affairs and the Securities and Exchange Board of India to transact the
business as set out in the notice convening AGM.
The Notice of the AGM and the Annual Report for the financial year 2025-26 are also available
on the Company's website at www.heranba.com and are being sent by email to all the eligible
members, whose email IDs are registered with the Company/ Depositories.
The Company has provided the e-voting facility to its members to exercise their right to vote
on the resolutions proposed to be passed at the AGM.
The Company has fixed Friday, August 28, 2026 as a "Cut-off Date" for the purpose of
determining the members eligible to vote on the resolutions set out in the Notice of the AGM.
The remote e-voting period commences on Thursday, September 24, 2026 at 9.00 A.M. (IST) and
ends on Sunday, September 27, 2026 at 5.00 P.M. (IST).
