Lloyds Enterprises Limited’s financial performance for the Financial Year 2025-26 has been presented in comprehensive detail in the Annual Report already circulated to the Members. I am pleased to share the Companies group investment position. 1. Lloyds Realty Developers Limited Our real estate business continues to perform strongly, expanding its presence across the Mumbai Metropolitan Region and nearby areas including Panvel, Khopoli, Dadar, and Thane. With nearly 14 million square feet of upcoming projects under development, the Company has strong growth visibility for the future. Importantly, as a result of the merger and demerger scheme approved during the year, our real estate business will be listed, unlocking its true potential and delivering greater value to shareholders. 2. Lloyds Engineering Works Limited Our material subsidiary, Lloyds Engineering Works Limited, continued its strong growth trajectory, reporting its highest-ever revenue and profit after tax in FY26. Together with subsidiaries and associates, the Group maintained a robust order book of approximately ₹8,000 crores and achieved profit before tax growth of 44% during the year. 3. Geomysore Services (India) Pvt. Ltd. Lloyds Enterprises holds around 31% stake in Geomysore Services, which operates India’s first private gold mine post-independence. The mine has already commenced production and is expected to produce approximately 600 kilograms of gold in FY27, supported by substantial reserves for long-term operations. This investment is poised to become a steady and valuable contributor to our growth in the coming years. 4. Lloyds Metals and Energy Limited Our flagship mining and metals company continues to strengthen its position as an integrated mining-to-metal enterprise. Lloyds Enterprises Limited holds around 4.13% stake directly and indirectly, and during the year subscribed to 75,00,002 share warrants, which Lorem ipsum dolor sit amet, were converted into equity shares. Lloyds Enterprises Limited – Consolidated Performance At the consolidated level, Lloyds Enterprises Limited achieved Total Income of approximately ₹2,200 crores in FY26, with standalone income of about ₹800 crores. Income from sale of rights, shares, dividends, interest, and other financial activities stood at ~₹349 crores (vs. ~₹33 crores in FY25). Standalone Profit After Tax improved sharply to ₹268 crores (vs. ₹16 crores in FY25). Trading income stood at ~₹463 crores (vs. ~₹593 crores in FY25), with exports contributing ~₹70 crores. A notable achievement was being awarded the prestigious steel pipe supply tender by GAIL (India) Limited. Other key developments include: During the year, the Company successfully completed its Rights Issue of partly paid-up equity shares, which received encouraging participation from shareholders and reflected their continued confidence in the Company’s growth plans. The funds raised are being utilized towards the object of the issue. The Company also made significant progress in the conversion of partly paid-up shares into fully paid-up equity shares through successful collection of call money. Another significant development during the year was the approval and implementation of the Scheme of Merger among group entities. The scheme has already received approvals from NSE, BSE, and SEBI, and an application has been filed with the NCLT for further clearance. This strategic merger is expected to enhance operational efficiencies, optimize resource utilization, strengthen the overall business structure, and create sustainable long-term value for shareholders. Further, the Company introduced an Employee Stock Option Plan (ESOP) for employees and its subsidiaries/associates. Lloyds Enterprises Limited will directly held close to 18% stake in SISCOL and, together with the stake to be held by Lloyds Engineering Works Limited, the Lloyds Group will control around 88% of SISCOL. SISCOL has a strong business presence with reputed clients such as L&T, Tata Projects, Adani Power, etc. and we believe this strategic investment will further strengthen our business portfolio and create long-term value for our shareholders in the years ahead.
