With reference to the captioned subject and pursuant to Regulation 34(1) of SEBI (Listing
Obligations and Disclosure Requirements), Regulations, 2015 (“SEBI Listing Regulations”),
we enclose herewith the Annual Report of the Company for the Financial year 2025-2026
alongwith Notice of the 16th Annual General Meeting (“AGM”) of the shareholders of the
Company to be held on Friday, September 25, 2026 at 11:00 a.m. (IST) ) through Video
Conference (“VC”) / Other Audio Visual Means (“OAVM”) to transact the business set out
in the Notice of the AGM.
In terms of Section 108 of the Companies Act, 2013 read with Rule 20 of the Companies
(Management and Administration) Rules, 2014, as amended and Regulation 44 of the SEBI
Listing Regulations, the Company is providing remote e-voting facility to its Shareholders
before AGM to cast their votes on all resolutions set out in the Notice of the AGM.
Additionally, the Company is providing the facility of voting through the e-voting system
during the AGM. The e-voting instructions is set out in the AGM Notice.
The Annual Report for the financial year 2025-26 is also available on the website of the
Company at https://www.jnkindia.com/
Further, pursuant to Regulation 36(1)(b) of the SEBI Listing Regulations, a letter providing the
web-link of the Annual Report, is being sent to those members who have not registered their
e-mail address, and the same is also available on the Company’s website at
