It begins as grey cloth, is carried through processing, and emerges finished — each stage adding value, each thread depending on the one beside it. That interdependence is the idea behind this year's theme. For Vinny Overseas Limited, FY 2025-26 was a year of exactly that kind of interweaving: of people who kept the plant running, customers who kept placing orders even as input costs rose, a Board that renewed its independent oversight, and an organisation that held its revenue line steady even as margins came under pressure. "Beyond Threads" is presented across five strands that run through this report — People, Process, Partnerships, Planet, and Prosperity — each returned to in the sections that follow. CHAIRMAN'S MESSAGE Resilience in a Changing Textile Market Dear Shareholders, It gives me pleasure to place before you the 34th Annual Report of your Company for the year ended 31st March, 2026. The year tested the textile processing business on more than one front. Revenue from operations grew 2.50%, from ₹121.57 crore to ₹124.62 crore, evidence that our customer relationships and job-processing capacity held firm through a competitive year. At the same time, profitability came under real pressure: profit after tax fell from ₹5.15 crore to ₹0.92 crore, driven chiefly by a rise in the cost of materials consumed and depreciation, and by the tapering-off of a one-time Gujarat Textile Policy subsidy that had lifted other income in the prior year. Your Board has not looked away from this — it is set out in full, ratio by ratio, in the Threads of Performance section of this report. Resilience, this year, meant discipline rather than dramatic reinvention: holding customer relationships, keeping the plant running through machinery-level energy-saving measures, strengthening the Board's independent oversight through the re-appointment of two Independent Directors, and continuing to invest in property, plant and equipment even as margins narrowed. Total assets grew from ₹106.09 crore to ₹124.21 crore over the year, and net worth strengthened from ₹82.18 crore to ₹83.00 crore. Operational efficiency and future readiness will be our watchwords for the year ahead — in the fabric we process, in the controls that govern us, and in the people who make both possible. Trade payables turnover stood at 6.17 times against 7.00 times last year, reflecting a modest lEemngptlhoeyneiensg of the payment cycle as the Company managed working capital through the year. Industrial relations remained cordial and satisfactory through the year. The Company continued to treat its workforce as its most important asset, with training and skill-upgradation programmes for operators and works- floor personnel, and induction of qualified manpower to strengthen functions across the business. Paid-up equity share capital stood at ₹46.52 crore (46,52,46,622 equity shares of ₹1 each) as at 31st March, 2026, unchanged from the prior year.
