We wish to inform you that TVSSPL has successfully completed the acquisition of the aforesaid 51% equity stake in Weber. Consequent to the completion of the acquisition, Weber has become a subsidiary of TVSSPL and, accordingly, a step-down subsidiary of the Company with effect from 31st August, 2026. The details required under regulation 30 of SEBI LODR read with SEBI Master Circular No. HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed herewith as Annexure A. Brief details of Initial Announcement Initial Announcement was regarding approval of the Board of Directors of TVS Sensing Solutions Private Limited (Step down wholly owned subsidiary company of TVS Srichakra Limited) for the acquisition of 51% shareholding in Weber Drivetrain Private Limited. b. Transaction Completed The acquisition of Weber Drivetrain Private Limited was completed on 31st August, 2026 by acquiring 5,100 equity shares (representing 51% shareholding) in Weber Drivetrain Private Limited. c. Amount of transaction completed Rs. 10,00,000 d. Date of transaction completed 31st August, 2026 e. Percentage of transaction completed 100% f. Any other significant information (in This disclosure is in continuation and brief) partial modification to the earlier disclosure dated 19th July, 2026. The final amount of consideration paid towards the acquisition is Rs.10,00,000. The earlier disclosure of Rs.1,43,00,000 payable towards the cost of acquisition stands hereby clarified/modified.
