Dear Sir/Madam, This is with reference to your email regarding the intimation of Record Date under Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, in respect of the intimation filed by the Company on September 01, 2026. In this regard, we wish to clarify that the Notice of the 19th Annual General Meeting (“AGM”) of the Company contains the following disclosure: “The Register of Members and Share Transfer Books of the Company shall remain closed from Thursday, 17th September, 2026 to Thursday, 24th September, 2026 (both days inclusive) for the purpose of AGM and determining the name of members eligible for dividend on equity shares, if declared, at the Meeting.” The aforesaid disclosure was incorporated in the AGM Notice with the expression “if declared”, as the matter of dividend was subject to declaration at the AGM. However, we hereby clarify that the Company has neither proposed nor declared any dividend and there is no agenda item relating to declaration of dividend in the Notice of the 19th AGM. Accordingly, no dividend is being declared by the Company for the financial year under consideration. In view of the above, the book closure period mentioned in the AGM Notice is primarily for the purpose of the 19th AGM. Since no dividend has been proposed or declared, the said disclosure does not constitute fixation of a Record Date for dividend.
