Sub: Proceedings and Scrutiniser’s Report of the 40th Annual General Meeting (‘AGM’) of Tata
Communications Limited (‘Company’).
The 40th AGM of the Company was held on Thursday, July 9, 2026 at 11:00 hours (IST) through
two-way Video Conferencing to transact the business as stated in the Notice convening the AGM dated
May 20, 2026 (‘AGM Notice’). The Company also facilitated the live webcast of the proceedings.
We would like to inform you that all items of business mentioned in the said AGM Notice were transacted
and passed by the Members with requisite majority through e-voting facility provided to the Members.
In this regard, please find enclosed the following:
a) Summary of proceedings of the Company’s AGM in compliance with Regulation 30 of the SEBI
(Listing Obligations and Disclosure Requirements) Regulations, 2015 (‘SEBI Listing Regulations’)
- “Annexure A”.
b) Voting results of remote e-voting conducted prior to the AGM and during the AGM, in relation to
the business transacted at the AGM, pursuant to Regulation 44(3) of the SEBI Listing
Regulations - “Annexure B”.
c) Consolidated Report of the Scrutinizer dated July 9, 2026, pursuant to Section 108 of the
Companies Act, 2013 read with Rule 20 of the Companies (Management and Administration)
Rules, 2014 - “Annexure C”.
The AGM concluded at 13:43 hours (IST).
The Consolidated Report of the Scrutinizer dated July 9, 2026 is available on the Company’s website at
www.tatacommunications.com and on the website of National Securities Depository Limited at
www.evoting.nsdl.com.
The video recording of the proceedings of the AGM is also being made available on the website of the

SUMMARY OF PROCEEDINGS OF THE 40TH ANNUAL GENERAL MEETING OF TATA
COMMUNICATIONS LIMITED
The 40th Annual General Meeting (‘AGM’ or ‘Meeting’) of the Members of Tata Communications Limited
(‘the Company’) was held on Thursday, July 9, 2026 at 11:00 hours (IST) via two-way Video Conferencing
(‘VC’). The Meeting was conducted in accordance with relevant circulars issued by the Ministry of Corporate
Affairs (‘MCA’) and the Securities and Exchange Board of India (‘SEBI’). The proceedings of the Meeting
were video recorded and a live streaming was webcast on the website of National Depository System
Limited (‘NSDL’). The Company had taken all the requisite steps to enable Members to participate and vote
on the items of businesses considered at the AGM.
In accordance with the Articles of Association of the Company, Mr. N. Ganapathy Subramaniam, Chairman
of the Board, chaired the Meeting. The Company Secretary welcomed all the Members and briefed them
on certain points relating to participation at the Meeting through VC. The requisite quorum being present,
the Meeting was called to order.
The Company Secretary then introduced the Directors and the Chief Financial Officer of the Company. The
respective Chairpersons of the Audit Committee, Stakeholders Relationship Committee, Nomination &
Remuneration Committee, Corporate Social Responsibility, Safety and Sustainability Committee and the
Risk Management Committee were present at the AGM. The representatives of the Promoter Group,
Statutory Auditors, Secretarial Auditor, Cost Auditor and Scrutinizer were also present at the Meeting
through VC.
With the permission of the Members, the Notice was taken as read. The Members were informed that there
were no qualifications or adverse remarks in the Reports of the Statutory Auditor and the Secretarial Auditor.
Further, the Registers as required under the Companies Act, 2013 and other relevant documents mentioned
in the Notice were available for inspection in electronic mode.
The Chairman welcomed the shareholders to the 40th AGM and expressed gratitude for their continued trust
and support. He highlighted the Company’s steady progress in FY 2025-26, underpinned by its strategic
transformation into a future-ready digital solutions provider, strong operational execution, and continued
investments in cloud, cybersecurity, AI, and digital infrastructure. The Chairman also outlined the
Company’s focus on AI-led innovation, customer-centricity, sustainability initiatives, and the strengthening
of its AI-ready portfolio.
The Chairman apprised the shareholders of the key leadership transitions undertaken during the year as
part of the Company’s ongoing succession planning and strategic growth initiatives. The Board placed on
record its sincere appreciation for the exemplary leadership and significant contributions of Mr. A. S.
Lakshminarayanan, former Managing Director & CEO, and Mr. Kabir Ahmed Shakir, former Chief Financial
Officer, whose stewardship played a pivotal role in strengthening the Company’s growth trajectory,
operational excellence, and financial resilience. The Chairman also acknowledged the valuable
contributions of Ms. Genius Wong, Executive Vice President – Core and Next Gen Connectivity Services,
and Mr. Sivasamban Natarajan, Executive Vice President – Global Operations, following the conclusion of
their distinguished tenures with the Company.

The shareholders were informed of the appointment of Mr. Ganapathi S. Lakshminarayanan as the
Managing Director & CEO and Mr. Siddhartha Mundra as the Chief Financial Officer. The Chairman further
welcomed Mr. Vivek Manglik as Business Head – Interaction Fabric, Mr. Rupesh Chokshi as Business
Head – Network Services, and Mr. Vivek Srivastava, who is expected to join shortly as Business Head –
Cloud and Cybersecurity Services. These appointments would further strengthen the Company’s leadership
team and support its next phase of growth. Additionally, the Chairman expressed the Board’s deep
appreciation to Mr. Krishnakumar Natarajan, whose tenure as an Independent Director was concluding, for
his invaluable guidance, strategic insights, and distinguished service to the Company over the past five
years.
Concluding the address, the Chairman acknowledged the contribution of all employees and other
stakeholders during the year. He also expressed gratitude towards all shareholders for their continued
support.
Mr. Ganapathi S. Lakshminarayanan, Managing Director & Chief Executive Officer of the Company then
made a presentation covering, amongst other things, Tata Communications’ growth momentum and
financial performance, customer engagement including Net Promoter Score, headwinds and tailwinds in
operations and ESG initiatives.
Thereafter, the Members were invited to put forth their comments and suggestions and to make enquiries
on the performance of the Company and other related matters. The queries made by the Members were
duly responded to by the Chairman.
The Chairman then thanked the Members for their continued support and for participating in the Meeting
and thanked the Directors and the Management team for joining the Meeting.
The Company Secretary then stated that the e-voting facility would be kept open for 15 minutes post
conclusion of the proceed
