NOTICE
49th Annual General Meeting
NOTICE is hereby given that the 49th Annual General Meeting ('AGM') of the Members of Rapicut Carbides Limited
(' RCL') ('Company') will be held on Saturday, September 26, 2026 at 12.30 P.M. IST through Video Conferencing (VC) facility
or Other Audio-Visual Means (OAVM), to transact the following businesses:
Ordinary Business :
1. To consider and adopt the Audited Financial Statement of the Company for the Financial Year ended 31st March, 2026
along with the reports of the Auditors and the Board of Directors thereon and in this regard, to consider and if thought fit,
to pass the following resolution as an Ordinary Resolution:
“RESOLVED THAT the Audited Financial Statement of the Company for the financial year ended 31st March, 2026 and
the reports of the Auditors and Board of Directors thereon, as circulated to the members, be and are hereby considered
and adopted.”
2. To appoint Smt. Shruti A Gami (DIN: 08764442), who retires by rotation as a Director and being eligible, offers herself for
re-appointment and in this regard, to consider and if thought fit, to pass the following resolution as an Ordinary
Resolution:
“RESOLVED THAT pursuant to Section 152 and other applicable provisions of the Companies Act, 2013, Smt Shruti A
Gami (DIN: 08764442), who retires by rotation at this meeting, be and is hereby appointed as a Director of the
Company.”
3. To appoint Statutory Auditors of the Company and fix their remuneration and in this regard, to consider and if thought fit,
to pass the following resolution as an Ordinary Resolution:
“RESOLVED THAT pursuant to the provisions of Section 139, 142 and other applicable provisions of the Companies
Act, 2013 read with the Companies (Audit and Auditors) Rules, 2014 (including any statutory modification(s) or re-
enactment thereof for the time being in force) and the recommendation by the Audit Committee of the Company and the
Board of Directors of the Company, M/s S M R P & Associates, Chartered Accountant (ICAI Firm Registration No:
146255W) be and are hereby appointed as Statutory Auditors of the Company to hold office for a term of 5 (five)
consecutive years from the conclusion of this Annual General Meeting till the conclusion of the 54th Annual General
Meeting of the Company at a remuneration of Rs 5.00 Lakhs for Three financial years (excluding reimbursement of
actual out of pocket expenses, Goods and Service Tax and fees for certification services) and with a further authority to
the Board to fix remuneration of the Statutory Auditors for subsequent financial years on recommendation of the Audit
Committee.”
Special Business :
4. Increase in the Borrowing Limits of the Company and in this regard to pass the following resolution as a Special
Resolution:
"RESOLVED THAT pursuant to Section 180(1) (c) and any other applicable provisions of the Companies Act, 2013
read with the rules made there under, the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
(including any statutory modification(s) or re-enactment(s) thereof for the time being in force), the consent of the
members be and is hereby accorded to the Board of Directors to borrow, from time to time, in any manner, such sum or
sum of monies upon such terms and conditions and with or without security as the Board may in its absolute discretion
think fit, in one or more tranches, in excess of the aggregate of the paid up share capital and free reserves and securities
premium of the Company, notwithstanding the total amount borrowed and outstanding at any point of time, apart from
temporary loans obtained/to be obtained from the Company's Bankers in the ordinary course of business, shall not, at
any time, exceed Rs. 100 Crore (Rupees One hundred Crore).
"RESOLVED FURTHER THAT pursuant to the provisions of Section 180(1)(a) and all other applicable provisions of
the Companies Act, 2013, the consent of the members be and is hereby accorded to authorise the Board of Directors of
the Company to sell, lease or otherwise dispose of wholy or substantially the whole of undertaking of the Compan
