The order pertains to the adjudication of stamp duty on the Scheme of Arrangement (Demerger) between Aarti Industries Limited (Demerged Company) and Aarti Pharmalabs Limited (Resulting Company) sanctioned by the Hon’ble National Company Law Tribunal (NCLT), Ahmedabad Bench vide its order dated September 21, 2022. The details as required to be provided as per sub-para 20 of Para A of Part A of Schedule III of SEBI Listing Regulations is as follows: Sr Particulars Details 1. Nature and details of the action(s) taken or Order passed under Chapter IV of the order(s) passed Gujarat Stamp Act, 1958, levying stamp duty and penalty: Stamp Duty of Rs. 25 Crores (Rupees Twenty-Five Crore only) under Article 20(D) of Schedule-I of the Gujarat Stamp Act. Penalty equal to the deficient duty of Rs.25 Crores (Rupees Twenty-Five Crore only) as per Rule 9 of the Mumbai Stamp (Market Value Determination) Rules, 1984. Penalty of Rs. 9,50,00,000/- under the provisions of the Gujarat Stamp Act, 1958 Totalling Rs, 59,50,00,000/- (Rupees Fifty-Nine Crore Fifty Lakh only) 3. Date of receipt of direction or order, including Date: 01.09.2026. Details of the violation(s)/contravention(s) Alleged short payment/non-payment committed or alleged to be committed of stamp duty under the Gujarat Stamp Act, 1958, on the Order of the NCLT, Ahmedabad Bench dated September 21, 2022, approving the Scheme of Arrangement (Demerger) of the Pharma Division of Aarti Industries Limited into Aarti Pharmalabs Limited. However, the Company is in the process of evaluating the order and it believes that it has a strong case on merits and will challenge the order passed by the Stamp Authorities. The Company believes that it has adequate factual and legal grounds to reasonably substantiate its position in this matter and considering the same, the Company will be taking appropriate course of actions for challenging the said order. 5.
