Dear Sir/ Madam,
Pursuant to Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, we
wish to inform you that the Board of Directors of the Company at its Meeting held on today i.e. Wednesday,
September 02, 2026, at the registered Office of the Company situated at 703, Rajhans Complex, Nr. Kadiwala
School, Ring Road, Surat-395002, Gujarat, have inter alia, discussed and approved the following businesses:
1. Approved the Director’s Report along with the Secretarial Audit Report issued by Secretarial Auditor of
the Company for the financial year ended March 31, 2026.
2. Considered and Recommended the Final Dividend of Rs. 0.10 (i.e. 1%) per equity shares of face value of
Rs. 10/- each for the financial year ended March 31, 2026, subject to approval of the Members at the
ensuing 19th Annual General Meeting of the Company. Final Dividend, if approved by the members, will
be paid in due course of time after the Annual General Meeting of the Company.
3. Considered and finalized Friday, 18th September, 2026 as the record date for the purpose of payment
of dividend for the financial year 2025-26.
4. Approved the Notice of 19th Annual General Meeting for the financial year ended March 31, 2026 to be
called and convened on Monday, 28th September, 2026 at 04:00 PM at the registered office of the
Company situated at 703, Rajhans Complex, Nr. Kadiwala School, Ring Road, Surat GJ 395002.
5. Alteration of the Object Clause of the Memorandum of Association of the Company by way of addition
of new Object Clauses, subject to the approval of the members at the ensuing 19th Annual General
Meeting of the Company and such other regulatory approvals as may be required.
The disclosures pertaining to the proposed amendments to the Object Clause of the Memorandum of
Association, in accordance with Regulation 30 of the SEBI Listing Regulations read with SEBI Circular No.
HO/49/14/14(7)2025-CFD-POD2/I/3762/2026 dated January 30, 2026, are enclosed as Annexure – I.
6. Considered and recommend the reappointment of Mr. Mohamedyaseen Muhammadbhai Nathani
(DIN: 02759578), Chairman and Managing Director of the Company who retires by rotation and eligible
to offer themselves for re-appointment as Director of the Company, subject to the approval of the
Members.
7. Approved Remuneration Payable to Mr. Mohamedyaseen Muhammadbhai Nathani (Din: 02759578) for
his remaining tenure as Chairman and Managing Director of the Company, subject to the approval by
the members of the Company.
8. Approved Remuneration Payable to Mr. Mohamedamin Mohammad Nathani (Din: 02759560) for his
remaining tenure as Whole Time Director of the Company, subject to the approval by the members of
the Company.
9. Based on the recommendation and approval of the audit committee, Board has approved the
appointment of M/s PSSP & Co. “Chartered Accountants”, having (Firm Registration No. 0129147W &
Peer Review No.: 018437) as the Statutory Auditors of the Company to hold office from the conclusion
of the ensuing 19th Annual General Meeting until the conclusion of the 24th Annual General Meeting,
subject to the approval of the Members of the Company.
Disclosure with respect to appointment of the Statutory Auditors of the Company pursuant to SEBI
Listing Regulations and SEBI Master Circular No. HO/49/14/14(7)2025-CFD POD2/I/3762/2026 dated
January 30, 2026 are annexed herewith as Annexure II.
10. Approved the draft Annual Report of the Company for the financial year ended March 31, 2026.
11. Appointed M/s. JDM and Associates LLP (Practicing Company Secretaries Firm) as secretarial Auditor of
the Company for the year 2026-27.
Disclosure with respect to appointment of the Secretarial Auditors of the Company pursuant to SEBI
Listing Regulations and SEBI Master Circular No. HO/49/14/14(7)2025-CFD POD2/I/3762/2026 dated
January 30, 2026 are annexed herewith as Annexure III.
12. Appointed Mr. Dhaval Pareshkumar Master, Designated Partner of M/s. JDM and Associates LLP,
Practicing Company Secretaries, as the Scrutinizer for the e-voting process at the 19th Annual General
Meeting of the Company.
13. Considered other matters with permission of chairperson.
