Re: Regulation 30 of the Securities Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 ("Listing Regulations") This is in continuation to outcome of Board Meetings dated April 20, 2026 and May 30, 2026 and intimation dated June 04, 2026, pursuant to Regulation 30 read with Schedule III of SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015 regarding the acquisition of DBION Private Limited (Formerly known as Sonitron Chemicals Private Limited), we would like to inform that the Company has acquired 7400 equity shares at the rate Rs. 10 each, amounting to Rs. 74,000. This constitutes 74% of the paid-up equity share capital of DBION Private Limited (Formerly known as Sonitron Chemicals Private Limited). We further inform that the said acquisition is in accordance with the Joint Venture Agreement entered into with Orgonew Private Limited. Consequent to this acquisition, DBION Private Limited is now a subsidiary of the Company as well as the Joint Venture Company under Joint Venture Agreement. The disclosure as required under regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 read with SEBI Master Circular No. HO/49/14/14(7)2025- CFD-POD2/l/3762/2026 dated January 30, 2026 were already furnished through the Company's aforesaid intimations.
