September 02, 2026 Corporate Relationship Department BSE Limited, Phiroze Jeejeebhoy Towers, 1st Floor, Dalal Street, Mumbai – 400001 Scrip Code: 526169 Dear Madam/ Sir, Sub: Annual Report for the Financial Year 2025-26 along with Notice convening the 35th Annual General Meeting of Multibase India Limited (“the Company”) Pursuant to Regulation 30 read with Schedule III of the Securities and Exchange Board of India (Listing Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI Listing Regulations”) as amended from time to time, we wish to inform you that the 35th Annual General Meeting (“AGM”) of the Members of the Company is scheduled to be held on Thursday, September 24, 2026, at 12:30 p.m. (IST) through Video Conferencing /Other Audio-Visual Means, without the physical presence of the Members at a common venue to transact the business as set out in the Notice of the AGM (“AGM Notice”), in compliance with the provisions of the Companies Act, 2013 and SEBI Listing Regulations read with General Circular No. 14/2020 dated April 8, 2020, General Circular No. 20/2020 dated May 5, 2020 and subsequent circulars issued in this regards, the latest being General Circular No. 03/2025 dated September 22, 2025, issued by the Ministry of Corporate Affairs and Circular no. SEBI/HO/CFD/CFDPoD-2/P/CIR/2024/133 dated October 3, 2024, and all the other applicable circulars issued by SEBI in this regard (collectively referred as “MCA and SEBI Circulars”). Further, in compliance with the aforesaid MCA and SEBI Circulars, the 35th Annual Report for F.Y. 2025-26 along with the AGM Notice is being sent only through electronic mode to those Members whose e-mail addresses are registered with the Company/ Depositories. The Company has engaged the services of National Securities Depository Limited (“NSDL”) to provide remote e-voting prior to the AGM and e-voting during the AGM facility to its Members. During the year, the operating environment remained challenging due to geopolitical uncertainties, inflationary trends, foreign exchange movements, and supply chain volatility. Against this backdrop, the Company remained focused on business fundamentals, customer-centric solutions, financial discipline, compliance, and sustainable value creation. India’s resilient economic growth, supported by domestic demand, infrastructure investments, policy reforms, and manufacturing-led initiatives, continues to provide opportunities for industrial businesses. The Company remains mindful that performance may be influenced by market conditions, regulatory developments, customer demand, competition, and other external factors. The specialty chemicals and performance materials sector continues to benefit from demand across automotive, electronics, consumer goods, wire and cable, packaging, and other industrial applications. Trends such as electrification, lightweighting, enhanced safety, premiumization, and sustainable materials provide a relevant opportunity landscape, which the Company will pursue with due regard to commercial viability, regulatory expectations, and risk-adjusted returns. During the year, the Company remained focused on selected product segments, including Silicone Masterbatches, Thermoplastic Elastomers / TPO, and Silicone Vulcanized Elastomers (TPSiV), with solutions aimed at enhancing performance, durability, aesthetics, and processing efficiency for customers, subject to product specifications, approvals, and market adoption. Our priorities include deeper customer engagement, localization opportunities, quality assurance, process discipline, and leveraging the Daman facility in a prudent and compliant manner. These initiatives are undertaken within the framework of applicable laws, internal controls, environmental, health and safety practices, and listed-company governance standards. The Company continues to monitor key risks, including imported raw material dependence, input cost volatility, foreign exchange fluctuations, trade policy changes, supply chain disruptions, customer concentration, product approval cycles, and competitive pressures. Management, under Board oversight, reviews these risks through appropriate controls, compliance processes, and mitigation actions. Looking ahead, subject to the overall business environment, demand for specialty materials, manufacturing growth in India, and expansion in automotive and electronics ecosystems may support the Company’s long-term prospects.
