Re-appointment of Mr. Sharadchandra Patil (DIN: 09345575) as Non-Executive Independent Director of the company for the second term of five (5) consecutive years with effect from October 06, 2026 to October 05, 2031, subject to approval of members. The details required to be furnished under Regulation 30 of SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015, as amended, read with HO/49/14/14(7)2025-CFD- POD2/I/3762/2026 dated January 30, 2026, issued thereunder is annexed as Annexure-A. 2. Amendment to the “Code of Practices and Procedures for Fair Disclosure of Unpublished Price Sensitive Information” pursuant to Regulation 8 of the SEBI (Prohibition of Insider Trading) Regulations, 2015 ("PIT Regulations") to align the same with the applicable provisions of the PIT Regulations. Information as required pursuant to BSE Mr. Sharadchandra Patil is not debarred from Circular No. LIST/ COMP/14/2018-19 and holding the office of Director by virtue of any SEBI NSE Circular No. NSE/ CML/2018/24 dated Order or any other such Authority June 20, 2018 ANNEXURE-B Mr. Sharadchandra B. Patil is having more than 40 years of rich and well-versed work experience in the field of power sector and renewable energy sector. In 1985, Mr. Patil joined Gujarat Energy Development Agency (GEDA) - the Nodal Agency of the Government of Gujarat, for promotion and popularization of renewable sources of energy and energy conservation, in various capacities of Project Executive, Assistant Director, Incharge Director and retired as Deputy Director as overall in-charge of Technical Wing of the Agency in the year 2016. Post retirement from GEDA, Mr. Patil was retained as Officer on Special Duty at GEDA till June, 2021 as overall in-charge of the Technical wing of the State Nodal Agency involving advising the Agency and State Government on renewable energy policy formulation, facilitating RE Investors, planning and monitoring of the programs and policies of the State Government in proliferation of renewable energy and energy conservation. Mr. Patil is M.Sc. postgraduate in Agri. Engineering from the University of Manitoba, Winnipeg, Canada. Mr. Patil completed his B.Tech (Agri. Engineering) degree from the Mahatma Phule Agricultural University, Rahuri, Maharashtra. Mr. Patil has started his professional journey in the year 1984 as an Assistant Professor at College of Agri. Engineering at Pune and Rahuri, Maharashtra as Co-ordinator for Research Projects and teaching UG Students respectively. After being in research and teaching profession for around a year, he Joined GEDA and had been associated with it until June 2021.
