(IST) through Video Conferencing/ Other Audio-Visual Means (VC/OAVM). A copy of the Notice of the AGM along with Annual Report is attached and also being uploaded on the website of the Company at www.ireda.in In compliance with the provisions of the Companies Act, 2013, SEBI (LODR) Regulations, 2015 read with applicable circulars issued by MCA and SEBI, the Notice of 39th AGM along with the Annual Report will be sent via e-mail to members whose e-mail IDs are registered with the Company’s RTA/ Depository Participants as on closing of August 28, 2026. Further, as per Regulation 36 (1) (b) of SEBI (LODR) Regulations, 2015, a letter providing a weblink for accessing the Notice and Annual Report for FY 25-26 is also being sent to those shareholders who have not registered their email address with the Company’s RTA/ Depository Participants. Pursuant to the provisions of the Act, Rules made thereunder and SEBI (LODR) Regulations, 2015, the Company has fixed the following dates in connection with the 39th AGM: Cut-off date for determining the eligibility of Tuesday, September 22, 2026 shareholders to vote through remote e-voting or e-voting during the AGM Period of remote e-voting to enable From Saturday, September 26, 2026 at 09:00 shareholders as on the Cut-off date i.e., A.M (IST) to Monday, September 28, 2026 at September 22, 2026 to cast their votes on 05:00 P.M (IST). proposed resolutions electronically. Further, as already been informed vide our letter dated August 22, 2026, the Record Date for the final dividend has been fixed as Friday, September 11, 2026 for the purpose of ascertaining the entitlement of members for payment of Final Dividend. If final dividend is approved at the ensuing AGM, payment of such dividend subject to the deduction of tax at source (TDS), will be made within 30 (Thirty) days from the date of approval of the shareholders in the ensuing AGM. As per provisions of Income Tax Act, 2025 read with relevant rules, dividend income is taxable in the hands of shareholders, and TDS will be deducted as per applicable rates.
