Subject: Summary of the Proceedings of 39th Annual General Meeting (AGM) of the Company held on
2nd September 2026 through Video Conferencing (VC) / Other Audio Visual Means (OAVM).
Dear Sir,
Pursuant to Regulation 30 and other applicable provisions of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, we hereby submit the summary of proceedings of the 39th Annual General
Meeting (“AGM”) of the Members of IOL Chemicals and Pharmaceuticals Limited (“the Company”) held on
Wednesday, 2nd September 2026 at 11:30 A.M. (IST) through Video Conferencing (“VC”)/Other Audio-Visual
Means (“OAVM”).
Mr. Abhay Raj Singh, Senior Vice President & Company Secretary, welcomed the Members, Directors,
management team, representatives of the Statutory and Secretarial Auditors and the Scrutinizer participating
in the AGM through VC/OAVM.
He informed the Members that the AGM was being conducted through VC/OAVM in accordance with the
applicable provisions of the Companies Act, 2013, the rules made thereunder and the relevant circulars issued
by the Ministry of Corporate Affairs (“MCA”) and Securities and Exchange Board of India (“SEBI”), hence the
physical presence of Members at a common venue is not mandatory. The Registered Office of the Company
was deemed to be the venue of the AGM.
The Company Secretary thereafter confirmed that the requisite quorum was present through VC/OAVM and
requested the Chairman to call the meeting to order.
Mr. Rajender Mohan Malla, Chairman of the Board, chaired the 39th AGM and upon confirmation of the
requisite quorum being present, called the meeting to order.
The Company Secretary informed the Members that the facility to participate in the AGM through VC/OAVM
and electronic voting through the CDSL platform had been provided. The eligibility of Members to attend and
vote was determined with reference to the cut-off date of 26th August 2026, and the remote e-voting facility
was available from 9:00 A.M. on 30th August 2026 to 5:00 P.M. on 1st September 2026.
Members who had not cast their votes through remote e-voting were informed that they could cast their
votes electronically during the AGM and for a period of 15 minutes after the conclusion of the AGM.
The Members were further informed that Mr. Vinay Kohli, Partner, M/s. K.K. Kapoor & Associates, Chartered
Accountants, had been appointed as the Scrutinizer to scrutinize the e-voting process, including remote e-
voting and e-voting during the AGM, in a fair and transparent manner.
Thereafter, the Company Secretary requested the Chairman to take over and proceed with the meeting.
The Chairman delivered his speech to the Members, covering the performance of the Company during the
financial year ended 31st March 2026 and other relevant matters.
Thereafter, the Company Secretary briefed the Members on the following resolutions as set out in the Notice
convening the 39th AGM:

1 To receive, consider and adopt the Standalone and Consolidated Audited Financial Ordinary
Statements of the Company for the financial year ended 31st March 2026 together
with Reports of the Board of Directors and Auditors thereon.
2 To appoint a director in place of Mr. Kushal Kumar Rana, who retires by rotation Ordinary
and being eligible, offers himself for re-appointment.
3 To ratify the remuneration of the Cost Auditor for the financial year ending 31st Ordinary
March 2027
The Members were also informed that the statutory registers and relevant documents required to be placed
before the AGM were available for electronic inspection. Members desirous of inspecting such
registers/documents were requested to write to the Company at investor@iolcp.com, mentioning their
name, demat account details, e-mail ID and mobile number to facilitate the inspection.
The Chairman informed the Members that the Notice convening the 39th AGM, along with the Audited
Financial Statements, Board’s Report and Auditors’ Report, had already been circulated to the Members and,
accordingly, the same were taken as read.
The Chairman further informed that the Reports of M/s. Ashwani & Associates, Statutory Auditors, and M/s.
B.K. Gupta & Associates, Secretarial Auditors, did not contain any qualifications, observations or comments
on financial transactions or matters which may have any adverse effect on the functioning of the Company.
The Chairman authorized Mr. Abhay Raj Singh, Senior Vice President & Company Secretary, to receive the
Scrutinizer’s Report, countersign the same and announce the voting results on behalf of the Company.
The Chairman further informed the Members that the voting results would be disseminated to the Stock
Exchanges and would also be made available on the website of CDSL, the e-voting agency, and on the
Company’s website, in accordance with the applicable regulatory requirements.
The Chairman informed the Members that an opportunity had been provided to them to register themselves
as speakers and to submit their queries. The queries raised by the Members during the AGM were suitably
addressed by Mr. Pardeep Kumar Khanna, Chief Financial Officer, and Mr. Abhay Raj Singh, Senior Vice
President & Company Secretary, of the Company.
Thereafter, the Chairman informed the Members who had not exercised their voting rights through remote
e-voting that the e-voting facility would remain open for 15 minutes after the conclusion of the AGM.
The Chairman thanked the Members for attending and participating in the AGM and for extending their
continued support and confidence in the Company. He also thanked the Directors, management team,
auditors, Scrutinizer and other invitees for their participation.
The AGM was concluded at 12:23 P.M.
A total of 92 Members attended the AGM through VC/OAVM. The requisite quorum was present at the
commencement of the AGM and remained present throughout the meeting.
Post conclusion of the e-voting facility, the Scrutinizer’s Report was received and based on the Scrutinizer’s
Report, all the resolutions set out in the Notice of the 39th AGM were passed by the Members with the
requisite majority.
The detailed voting results pursuant to Regulation 44(3) of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, along with the Scrutinizer’s Report, are being submitted separately to the
Stock Exchanges.
