Sub: Outcome of Board Meeting Under Regulation 30(2) and 33 of SEBI (Listing Obligations
and Disclosure Requirements) Regulations, 2015.
In compliance with Regulations 30 and 33 of the Securities and Exchange Board of India (Listing
Obligations and Disclosure Requirements) Regulations, 2015 (“SEBI (LODR) Regulations, 2015”)
(including any statutory modification(s), amendment(s) or re-enactment(s) thereof for the time being
in force), this is to inform you that the Board of Directors of the Company at their meeting held today
i.e. Wednesday, September 2, 2026 (commenced at 11.05 a.m. and concluded at 11.25 a.m.), has
approved the revision in utilisation and deployment of the unutilised proceeds of the Qualified
Institutions Placement (“QIP”), in accordance with the revised business requirements, retail
expansion strategy and commercial requirements of the Company.
The Company had raised an aggregate amount of ₹20,204.98 lakhs through QIP by issue of
61,22,722 Equity Shares at an issue price of ₹330 per Equity Share. After deduction of estimated
issue-related expenses, the Net Proceeds amounted to approximately ₹19,520.98 lakhs. As on June
30, 2026, the Company had utilised approximately ₹49.25 crore, leaving approximately ₹152.80
crore unutilised. The Board has, inter alia, approved the following revisions:

The revised utilisation towards General Corporate Purposes shall include, inter alia, future store
rentals, lease rentals, marketing, advertising, brand promotion, customer acquisition initiatives,
promotional campaigns, business development initiatives and other permissible ordinary-course
business expenditure, subject to applicable laws, the Placement Document and the prescribed
overall GCP limit.
The Board has further approved that the aggregate utilisation towards General Corporate Purposes
shall not exceed 25% of the Gross Proceeds of ₹20,204.98 lakhs, i.e. ₹5,051.245 lakhs (₹50.51245
crore), subject to applicable regulatory requirements.
Accordingly, the Company proposes to utilise the balance unutilised QIP proceeds of approximately
₹152.80 crore as follows:
(i) ₹107.80 crore towards opening and establishment of the remaining 35 new brand-exclusive
stores, thereby taking the total number of retail stores under the revised programme to 60 stores;
(ii) ₹45.00 crore towards permissible General Corporate Purposes, including store future rentals and
marketing, advertising and brand promotion.
The Board has also approved the extension of the timeline for utilisation of the unutilised QIP
proceeds from March 31, 2027 to December 31, 2027, considering the revised retail expansion
strategy, revised number of stores and phased utilisation towards rentals, occupancy expenditure,
marketing, advertising and brand promotion.
The revised utilisation shall remain subject to the terms and conditions of the Placement Document,
applicable provisions of the Companies Act, 2013, SEBI ICDR Regulations, SEBI Listing
Regulations and other applicable laws, and the Company shall continue to comply with all applicable
monitoring, reporting and disclosure requirements in relation to the utilisation of the QIP proceeds.
The above revision in utilisation shall also be appropriately reported to the Monitoring Agency and
disclosed in the relevant regulatory filings in accordance with applicable requirements.
The same may please be taken on record and suitably disseminated to all concerned.
