Annual General Meeting (“AGM”) of Exhicon Events Media Solutions Limited.
Dear Sir/ Madam,
We wish to inform that the 16th Annual General Meeting (“AGM”) of the members of Exhicon Events
Media Solutions Limited (“the Company”) will be held on Thursday, September 24, 2026 at 09:00 AM
at the registered office of the Company at S. No. 65/4, Gaikwad Wasti, Haveli, Mundhawa (N.V.), Pune
- 411036, Maharashtra, India to transact business as set out in the Notice of AGM.
In compliance with the Regulation 30 and 34 of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations, 2015, we wish to submit herewith:
1. Annual Report of the Company for the Financial Year 2025-26 (“Annual Report”); and
2. Notice of the 16th (Sixteenth) Annual General Meeting of the Company (“Notice of the AGM”).
The Company has commenced the dispatch of Notice of the AGM along with Annual Report for Financial
year 2025-26 to the Members through electronic means on the email addresses as registered with the
Company/ Registrar and Share Transfer Agent/ Depository Participant(s), in compliance with relevant
circulars issued by Ministry of Corporate Affairs and the Securities and Exchange Board of India.
Further, in accordance with Regulation 36(1)(b) of the SEBI (Listing Obligations and Disclosure
Requirements) Regulations 2015, the Company is also dispatching letters to the shareholders whose email
id is not registered providing a web-link including the exact path for accessing the Annual Report for the
financial year 2025-26.
The key details pertaining to the e-voting process are set out below:
The Company has provided a remote e-voting facility to its members to enable them to cast their
votes on the resolutions as set forth in the Notice of the 16th AGM.
A person whose name appears in the Register of Members or in the Register of Beneficial Owners
maintained by the Depositories as on the cut-off date, i.e., Friday, September 18, 2026, shall only be
entitled to avail the facility of remote e-voting as well as e-voting during the AGM.
The voting rights of Members shall be in proportion to their share in the paid-up equity share capital
of the Company as on the cut-off date.
The remote e-voting period shall commence at 09:00 A.M. (IST) on Monday, September 21, 2026
and shall end at 05:00 P.M. (IST) on Wednesday, September 23, 2026, and thereafter the remote e-
voting module shall be disabled for voting.
E-voting facility shall also be available during the AGM to those Members who have not cast their
vote through remote e-voting.
Detailed instructions for remote e-voting, participation in the AGM through VC/OAVM and e-voting
during the AGM are provided in the Notice of the 16th AGM.
The copy of the Annual Report for the Financial Year 2025-2026 and Notice of 16th AGM is also available
on the website of the Company at https://exhiconevents.in and on the website of the Stock Exchange i.e.
BSE limited at www.bseindia.com.

A.Expanding the Venue-as-a-Service (VAS) Platform
We successfully pivoted toward an infrastructure-backed, asset-light Venue-as-a-Service (VAS) business model to
capture predictable, long-term annuity and rental flows. Our geographic footprint expanded across high-growth
economic zones:
Pune Cluster: Fully operationalized the premium 10-acre Messe Global Convention Centre (Magarpatta) and launched
the 2.5-acre Messe Global Arena (Kharadi) as specialized live-event footprints, alongside adding the
