Pendency of Litigation(s)/dispute(s) or the outcome impacting the Company

1st September, 2026 BSE Limited National Stock Exchange of India Limited Department of Corporate Services Listing Department Phiroze Jeejeebhoy Towers Exchange Plaza Dalal Street Bandra-Kurla Complex Mumbai 400 001 Bandra (East), Mumbai 400 051 Scrip Code: 500575 NSE Symbol: VOLTAS Sub: Intimation – update on a Pending Material Litigation as required under Regulation 30 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015 Dear Sirs, This has reference to the legal matter relating to the claim and counter claim filed by the Company and Joint Venture of OHL International, Spain, and Contrack (Cyprus) Limited and Others; brief details of which had been disclosed in Company’s earlier filings 14th August, 2023; 1st October, 2024; 6th February 2025; and 11th May, 2026. The Company had vide its disclosure dated 11th May, 2026, informed that the Court of Appeal (Qatar), vide its order dated 4th May, 2026 had, inter alia directed OHL International, Spain and Contrack (Cyprus) Limited (together referred to as ‘OHL&C’) to: (a) pay the Kentz–Voltas Consortium (KVC) the outstanding amounts due under the subcontract, together with compensation; and (b) ordered Bank Guarantees (advance and performance bank guarantee) to be returned to Voltas. Subsequently, OHL&C had filed appeal against the above Order before the Court of Cassation, Qatar (Supreme Judiciary Council of Qatar). The Court of Cassation, Qatar vide its Order dated 30th August, 2026 [copy of English translation received yesterday late evening (i.e., Monday, 31st August, 2026)] has dismissed the aforesaid appeal of OHL&C as inadmissible. Accordingly, the Order dated 4th May, 2026 passed by the Court of Appeal (Qatar) remains undisturbed. The Company had already filed application for execution of the Order dated 4th May, 2026 and the Bank Guarantees furnished by the Company had been cancelled. The Company is also pursuing recovery of amounts awarded. Kindly take the same on record.
