1. The 34th Annual General Meeting (AGM) of the Company will be held on Thursday,
September 24, 2026 at 11:30 A.M. (IST) through video conferencing/ Other Audio
Visual Means in accordance with relevant circulars issued by the Ministry of
Corporate Affairs and the Securities and Exchange Board of India ('Circulars');
2. In terms of aforesaid circulars, Notice of AGM and Annual Report 2025-26 (as
enclosed) are beings sent to all the members of the Company whose email addresses
are registered with the Company /RTA/Depository Participant(s);
Further, a letter providing the web-link, including the exact path, where complete
details of the Annual Report are available are being sent to those shareholder(s)
who have not so registered their email addresses.
3. The Company has fixed, Thursday, September 17, 2026 as Record date for the
purpose of dividend payment, if declared, at ensuing AGM.

FY26 unfolded against an evolving power and electrical landscape. Utilities continued
to modernize. Infrastructure investments gathered pace. Consumer markets stayed
dynamic even as businesses navigated shifting market conditions and changing
customer expectations. Responding to these structural trends, HPL strengthened its
position as a two-engine electrical platform: Metering, Systems & Services, providing
scale, technology leadership and multi-year order visibility; and Consumer, Industrial &
Services, providing faster-cycle, channel-led growth across a broad product portfolio.
Unified in mission, our core businesses advance our purpose of delivering reliable,
smarter, and sustainable solutions that power India’s progress.
This diversified strength reflects in the way
our business has evolved over the years.
Our Metering, Systems & Services business remains our scale and visibility engine,
supported by technology leadership, long-standing customer relationships and
a strong order pipeline. Accounting for 97% of the `3,200+ crore order book,
smart meters continue to be a key driver of modern India’s power distribution
ecosystem. Our expansion into the smart water meter segment with the launch
of ‘Neeram Pulse’, extends our proven metering expertise into high potential
adjacent digital utility segments.
Alongside this, our Consumer & Industrial business has emerged as a second core
growth engine. Revenue grew by 25.62% in FY26 while the segment contribution
increased to 43% of Revenue from Operations, from 37% in FY25, driven by
broad-based growth across Wires & Cables, Switchgear and Lighting and deeper
channel engagement.
This balanced momentum has helped generate Revenue from Operations over
`1,800 crore, with quarterly revenues exceeding `500 crore for the first time.
It has also strengthened our ability to grow across market cycles and reduce
dependence on a single business, positioning us strongly to capture emerging
opportunities in India's evolving power and electrical landscape.
