The Company has engaged the services of NSDL to provide remote e-Voting facility and e-Voting facility during the AGM. The remote e-
voting period begins on Saturday, September 19, 2026 (9:00 A.M. IST) and will end on Tuesday, September 22, 2026 (5:00 P.M. IST). During
this period, the Members of the Company, holding shares either in physical or dematerialized mode, as on the cut-off date, i.e. Wednesday,
September 16, 2026, may cast their votes. The remote e-Voting module shall be disabled by NSDL for voting thereafter.
Further in terms of Regulation 42 of the SEBI (Listing Obligations and Disclosure Requirements) Regulations 2015, the Company has fixed
Friday, September 11, 2026 as the Record Date for the purpose of payment of Final Divided of Rs.7.00 per equity share of face value of
Rs.2.00 each as recommended by the Directors for the financial year 2025-26, if declared at the Shareholder Meeting, will be paid to those
members whose names shall appear on Company's Register of Members as on Record Date.

Power demand in India is growing at an unprecedented pace. Peak
demand is expected to rise from 271 GW in FY 2025-26 to 459 GW by

Renewable energy delivers value only when it can be transmitted efficiently
from generation centres to demand centres. To support this transition,
the National Electricity Plan has earmarked nearly H7.93 lakh crores for
transmission infrastructure through FY 2035-36, including the addition
of more than 1.37 lakh circuit kilometres of transmission lines, expanded
substation capacity and advanced technologies such as HVDC systems to

How Are We Positioned?
With decades of experience delivering EHV substations up to 765 kV,
transmission networks and renewable power evacuation infrastructure,
Techno Electric is well positioned to support India's expanding grid and
energy transition. Over the past three decades, the Company has built 350
of the country's approximately 500 substations above 400 kV, reinforcing its
leadership in high-voltage transmission infrastructure.

India’s digital economy is entering a high-growth infrastructure
phase. Valued at approximately $370 billion in 2023 and projected
to surpass $1 trillion by 2030, its expansion is being fuelled by
artificial intelligence, cloud adoption, digital public infrastructure
and continued enterprise digitalisation.
This transformation is driving rapid growth in data centre capacity, which has
increased from approximately 375 MW in 2020 to nearly 1,500 MW in 2025. Industry
forecasts indicate capacity could reach approximately 4.5-8 GW by 2030, depending
on the pace of AI, cloud and hyperscale deployment. Reaching the upper end of
this growth trajectory could require approximately $30 billion in data centre capex
through 2030.
As AI workloads become increasingly power-intensive, the infrastructure equation
is also changing. Reliable power availability, resilient electrical systems, advanced
cooling and operational resilience are becoming fundamental to where and how the

How Are We Positioned?
Techno Electric's heritage in mission-critical power infrastructure provides a
distinctive advantage in developing digital infrastructure where uninterrupted
power and engineering precision are paramount. The Company has
established a 24 MW hyperscale campus in Chennai, while 8 MW and 16 MW
campuses are under development in Kolkata and Noida, alongside 102 edge
data centres being delivered under a long-term Build-Own-Maintain contract.
