This Final dividend is subject to approval of shareholders at the forthcoming Annual General Meeting (“AGM”). As you may be aware, in terms of the provisions of the Income-Tax Act, 2025, ("the Act" or “IT Act 2025”) as amended by the Finance Act, 2026, applicable with effect from April 01, 2026, dividend declared and paid by the Company is taxable in the hands of its shareholders. Accordingly, the Company shall be required to deduct tax at source from the said dividend at prescribed rates. The aforesaid dividend, if approved by the shareholders at the AGM, will be payable to those shareholders whose name appear in the Register of Members of the Company or in the records of the Depositories Participants, as on the record date, within the prescribed timeline as per applicable statute. If there is any change in the information, you are requested to update your records such as tax residential status, PAN and register your e-mail address, mobile number and other details with your relevant depositories through your depository participants in case you are holding shares in dematerialised form and if you are holding shares in physical mode, you are requested to furnish details to M/s. Bigshare Services Private Limited, the Registrar and Transfer Agent (“RTA”) of the Company at S6-2, 6th floor, Pinnacle Business Park, Next to Ahura Centre, Mahakali Caves Road, Andheri (East), Mumbai 400093 and send them the duly completed ISR 1, ISR 2, ISR 3 and SH 13 at RTA’s office or at investor@bigshareonline.com The said forms can downloaded from the Company’s website at https://dcwltd.com/investors/ and Company’s Registrars website at https://www.bigshareonline.com/resources-sebi_circular.aspx#parentHorizontalTab3 This communication provides a brief of the applicable Tax Deduction at Source (“TDS”) provisions under the Act for Resident and Non-Resident shareholder categories. I. For Resident shareholders: Tax is required to be deducted at source under Section 393(1) (Table Sl. No. 7) of the IT Act, 2025, at the rate of 10% on the amount of dividend where shareholders have registered their valid Permanent Account Number (“PAN”). In case, shareholders do not have PAN/inoperative/invalid PAN not linked with Aadhaar/ not registered their valid PAN details in their account in the Income-tax portal, TDS at the rate of 20% shall be deducted under Section 397(2) of the IT Act, 2025 or as per the applicable law. a. Resident Individuals: No tax shall be deducted on the dividend payable to resident individuals if: i. Total dividend amount to be received by them during the Financial Year (“FY”) 2026-27 does not exceed Rs. 10,000/-; or ii. The shareholder provides Form 121, subject to fulfilment of all the prescribed eligibility conditions. Please note that all fields in Form 121 are mandatory to be duly filled in, and the Company may, at its sole discretion, reject the form if it does not fulfil the requirements prescribed under the Act. iii. Exemption certificate, if any, is issued by the Income-tax Department. Note: Recording of a valid PAN against the registered Folio / DP ID-Client ID is mandatory. In the absence of a valid PAN, tax shall be deducted at the higher rate of 20%, as prescribed under Section 397(2) of the IT Act, 2025. b. Resident Non-Individuals: No tax shall be deducted on the dividend payable to the following resident non- individuals, subject to submission of the requisite details and documents in the prescribed format: i. Insurance Companies [Section 393(4), Table Sl. No. 10 of the IT Act, 2025]: Self-declaration confirming that the entity qualifies as an ‘Insurer’ as defined under Section 2(7A) of the Insurance Act, 1938, and has full beneficial interest in respect of the equity shares held by it, along with: • Self-attested copy of PAN card; and • Certificate of registration with the Insurance Regulatory and Development Authority (IRDA) / Life Insurance Corporation of India / General Insurance Corporation of India. ii. Mutual Funds [Section 393(5)(d) of the IT Act, 2025]: Self-declaration confirming that the entity is registered with SEBI and is notified under Schedule VII (Table: Sl. No. 20 or 21) of the IT Act, 2025, along with: • Self-attested copy of PAN card; and • Certificate of registration with SEBI. iii. Alternative Investment Funds (AIFs): Self-declaration confirming that the entity is an Alternative Investment Fund (AIF) registered with SEBI and specified under Schedule V (Table: Sl. No. 1) of the IT Act, 2025, and is registered with SEBI as a Category I or Category II AIF, along with: • Self-attested copy of PAN card; and • Certificate of AIF registration with SEBI. iv. New Pension System (NPS) Trust [Section 393(9) of the IT Act, 2025]: Self-declaration confirming that the entity qualifies as an NPS Trust and that its income is eligible for exemption under Schedule VII (Table: Sl. No. 41) of the IT Act, 2025, and is regulated by the provisions of the Indian Trusts Act, 1882, along with: • Self-attested copy of PAN card. v. Business Trust covered under Section 393(4), Table Sl. No. 10 of the IT Act, 2025: Self-declaration confirming that the person is a “business trust”, as defined under Section 2(21) of the IT Act, 2025, in respect of any securities held by a special purpose vehicle referred to in Schedule V (Table: Sl. No. 3). vi. Persons covered under Section 393(5)(a)/(b)/(c) of the IT Act, 2025: Self-declaration confirming that the person is: • the Government; or • the Reserve Bank of India; or • a corporation established by or under a Central Act which, under any law for the time being in force, is exempt from income-tax on its income, along with a copy of PAN. vii.
