The Company informs that the 38th Annual General Meeting ("AGM") of the Company is scheduled to be held
on Friday, September 25, 2026, at 03.00 p.m. through Video Conferencing / Other Audio-Visual Means, in
accordance with the relevant circulars issued by the Ministry of Corporate Affairs and Securities and Exchange
Board of India ("SEBI").
In terms of Regulation 34(1) of the SEBI (Listing Obligations and Disclosure Requirements) Regulations, 2015,
we are submitting herewith the Annual Report of the Company for the financial year 2025-26 and the Notice of
38th AGM, which is being sent through electronic mode to those members whose e-mail addresses are registered
with the Registrar & Share Transfer Agent / Depository Participants.
Further, pursuant to Regulation 36(1)(b) of the SEBI (Listing Obligations and Disclosure Requirements)
Regulations, 2015, a letter providing the web-link of the Annual Report, being sent to those members who have
not registered their e-mail address, is also attached and available on the Company’s website at
https://godavaridrugs.com/annual-reports/
The Annual Report containing the Notice of 38th AGM is also uploaded on the Company’s website at
www.godavaridrugs.com and the same shall also be available on the website of CDSL at www.evoting.nsdl.com

CORPORATE OVERVIEW
Chairman’s Message
Dear Stakeholders,
It is my pleasure to present to you the progress of Godavari
Drugs Limited during FY 2025–26 and share our vision for the
next phase of the Company’s growth.
The year gone by has been one of transition and execution for
your Company. Over the past few years, we have made
significant investments in manufacturing infrastructure,
product development, technology, and people. We are now
entering a phase where these investments are beginning to
translate into new products, new markets, and new business
opportunities. Our facility for manufacturing Anti-HIV
intermediates is currently under production trials and
stabilization.
The pharmaceutical industry continues to experience
competition and pricing pressures, particularly in the API
segment. At the same time, the global pharmaceutical supply
chain is undergoing a structural shift, with customers
increasingly looking for dependable manufacturing partners
outside traditional sourcing geographies. We believe this
changing environment presents meaningful opportunities for
Indian manufacturers.
Our strategy continues to focus on diversifying the Company
beyond its established product portfolio. We intend to leverage
our manufacturing infrastructure, technical capabilities, and
experience in APIs and intermediates to pursue opportunities
emerging in the pharmaceutical industry. We see considerable
potential in building long-term CDMO and CMO partnerships
with pharmaceutical companies looking for reliable, quality-
focused, and cost-competitive manufacturing partners in India
and around the globe.
The new state-of-the-art manufacturing facility marks an
important milestone in our growth journey. As we ramp up
production at the new facility, we expect to progressively
expand our product capabilities, improve manufacturing
efficiencies, and cater to larger opportunities across domestic
and international markets.

Enhancing our international business remains an important
pillar of our growth strategy. Continual efforts are being made
to expand our presence across global markets and strengthen
relationships with international customers. The ongoing
China+1 movement and increasing emphasis on supply-chain
resilience provide Indian API and intermediate manufacturers
with significant opportunities.
As we look ahead, our priorities are clear — commercialise new
products, ramp up our new manufacturing capacities, grow
exports, strengthen backward integration, and continue
diversifying our product portfolio. We believe these initiatives
can create multiple and sustainable growth drivers for
Godavari Drugs Limited.
The journey ahead will require patience, execution, and
continued investment. However, we are confident that the
capabilities and foundation built over the past few years
position the Company well to pursue the opportunities
emerging in the pharmaceutical industry.
I would like to express my sincere appreciation to our
employees for their dedication and contribution, to my
colleagues on the Board for their guidance, and to our
shareholders for their continued faith in the Company.
I also extend my gratitude to our customers, suppliers, bankers,
