Office: Delton House, 4801, Bharat Ram Road, 24, Daryaganj, New Delhi – 110002 CIN: L31300DL1964PLC004255, Website: www.deltoncables.com, E-mail: secretarial@deltoncables.com, Tel: 0129-4523000 September 1, 2026 Name of the Member : Folio No. / DP & Client Id No. : Subject : Deduction of tax at source from Final Dividend Amount, if approved by the shareholders at the ensuing Annual General Meeting Dear Member(s), We wish to inform you that the Board of Directors at their meeting held on May 27, 2026, have recommended a Final Dividend of Rs. 2/- per equity share having a face value of Rs. 10/- each, for the financial year 2025- 26, subject to the approval of the shareholders at the ensuing Annual General Meeting (“AGM”), which is payable based on your shareholding as on September 22, 2026, i.e. the Record Date fixed for this purpose. The Final Dividend, if approved by the shareholders, will be paid within a period of 30 days from the date of such approval. As per Income Tax Act, 2025, (“the Act”), dividend paid or distributed by a Company is taxable in the hands of the shareholders. The Company is required to deduct tax at source (“TDS”) at the time of payment to the shareholders. Dividend to Resident shareholders is subject to TDS at the rate of 10% with valid Permanent Account Number (“PAN”) or at the rate of 20% without/ invalid PAN and for Non-Resident shareholders at the rates prescribed under the Act or Tax Treaty, read with Multilateral Instruments, if applicable. Further, no TDS is applicable if the dividend payable to resident individual shareholders is up to Rs. 10,000/- per annum within a financial year. In case the aggregate of dividend paid during the financial year 2026-27 (interim, final or by any other name called) exceeds Rs. 10,000/- for a resident individual shareholder, TDS will be calculated on the aggregate amount and deducted from the next sequential dividend paid up to March 31, 2027. In case of resident Individual shareholders, TDS is required to be deducted at the rate of 20% u/s 397(2)(a) & (b)(i) of the Act, if valid PAN of the shareholder is not available or the PAN has become inoperative. Any eligible shareholder, who wishes to avail the benefit of non-deduction of tax at source or lower deduction of tax at source, is requested to submit the following documents, via e-mail to secretarial@deltoncables.com on or before Tuesday, September 22, 2026. Resident individual shareholders with valid No TDS is required to be deducted on furnishing of valid PAN Form 121 by a resident individual. (Format of Form 121 & relevant guidelines for filing Form-121 are available on website of Income Tax at the following link: https://www.incometaxindia.gov.in/documents/d/guest/form- no-121 & https://www.incometaxindia.gov.in/documents/d/guest/form- 121-faqs respectively. Please note that Declaration under Form No. 121 shall not be valid if it does not contain the PAN of the declarant. In such cases TDS shall be deducted at the rate of 20% u/s 397(2)(f)&(g) of the Act. Insurance Companies, Category I and II No TDS will be deducted subject to submission of Self- Alternative Investment Fund, Recognised attested copy of relevant valid registration certificate Provident funds, National Pension System Trust, Approved Superannuation fund, Approved Gratuity Fund, Business Trust, Any other entity/member entitled to exemption from TDS No TDS is required to be deducted as per Section 393(5)(d)(B) of the Act subject to specified conditions. Self- Mutual Funds attested copy of valid SEBI registration certificate needs to be submitted. i. Self-attested copy of valid PAN; ii. Self-attested copy of valid Tax Residency Certificate (“TRC”) obtained from the tax authorities of the country of which the shareholder is a resident; Non-resident shareholders* iii. Form 41 filed electronically on income tax e-portal. iv. Self-declaration on letter head of having no Permanent Establishment in India, Beneficial ownership of shares and eligibility to claim treaty benefits. (as per Appendix-1 to this Communication). TDS is required to be deducted at the rate prescribed in the Resident/Non-resident shareholders lower tax withholding certificate issued u/s 395 of the Act, if such valid certificate is provided. *Application of beneficial tax rate shall depend upon the completeness of the document submitted by the shareholder and review to the satisfaction of the Company. In case, the dividend income is assessable to tax in the hands of a person other than the registered Member as on the Book Closure Date, the registered Member is required to furnish a declaration (as per Appendix-2) to this communication containing the name, address, and PAN of the person to whom TDS credit is to be given and reasons for giving credit to such person by September 22, 2026.
